Corporate Counsel The candidate will serve as a trusted advisor to the firm's business. Will be responsible for working closely with the Company s General Counsel in all legal efforts to support firm's operations. Will be responsible for anticipating and responding to a variety of legal issues that arise in the business, including but not limited to those relating to commercial contracts, vendor agreements, hotel and restaurant management agreements, employment law, and litigation management. Be committed to high standards of behavior and performance. As part of firm's legal team, handle a wide variety of matters arising from the Company s operations. Facilitating the business objectives of firm by counseling and providing timely, strategic and practical solutions to business teams regarding legal and related business risks. Identifying, analyzing and counseling regarding risks related to business operations, commercial contracts, transactions and litigation. Structuring, drafting, negotiating, reviewing and managing commercial contracts, hotel and restaurant management agreements, vendor and other agreements at the corporate level as well as the individual hotel level and advising the business teams regarding the legal and business implications of such agreements. Managing compliance under commercial contracts, hotel and restaurant management agreements, vendor and other agreements post execution. Manage contractual interpretation and contractual disputes. Advising, developing and coordinating with business teams regarding corporate policies and procedures in particular as it relates to the negotiation, execution and management of commercial contracts. Developing a thorough understanding of firm's business, its people, franchisors, owners, markets, vendors and competitors, and use this knowledge in providing guidance and counsel to the business team. Establishing and developing strong relationships with all teams within the organization. Identifying training needs and assisting in development and presentation of training and education regarding various issues, including contract negotiation and management. Supervising and directing outside counsel as needed. Providing ethical leadership and judgment.

The candidate should have a J.D. degree from a highly-regarded law school. Must have 5 years of commercial (particularly contracts) law experience in a corporate or law firm setting. Must have superior verbal and written communication skills and excellent academic credentials. Must have Excellent academic credentials. Should have Bar Admission in good standing approved by a State Bar Association. Bar admission to a state with Indiana reciprocity would be preferred. Experience as a corporate transactional attorney is required. A combination of law firm and in-house experience is considered a clear advantage. The ability to independently review, structure, draft, negotiate and manage commercial contracts is required. Any experience in real estate, employment, or the hospitality industry is desired.
