General Counsel and Chief Compliance Officer The candidate provides continuing counsel and guidance on legal matters, compliance, and contracts. Serves as key lawyer/legal advisor on all major business transactions with respect to compliance and contracting, including regulatory and statutory compliance, commercial arrangements, and other organization commitments / obligations. Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable HIPAA, Privacy. laws and regulations. Provides direction and oversight to ensure consistent compliance with regulatory, contractual, and internal policies and standards. Oversees the selection, retention, management and evaluation of all outside counsel. Manages the Contract Administration function for the Company, including drafting contracts, negotiating vendor and customer agreements, and coordinating with outside legal counsel. Develops, leads and manages the Company s annual compliance plan and all compliance program activities of the Company. Chairs the Corporate Compliance Committee; conducts annual risk assessments to identify vulnerabilities; develops and recommends corrective action plans for resolution of problematic areas and provides general guidance on how to prevent, detect, deter or correct similar situations in the future. Advises Senior Management on risk mitigation. Advises the Board of Directors, Senior Management, employees and affiliates on Standards of Conduct issues, as necessary and works diligently to foster a culture and climate of sensitivity to compliant and ethical behavior within the organization Identifies training needs, initiates development of subordinates, and recommends effective corrective action for compliance and ethical issues. Assist with Corporate development special projects as needed (acquisitions, divestitures). Oversees and directs internal investigations in response to reports of possible compliance violations Coordinates preparation of annual compliance training, ensuring the company remains fully trained. Ensures proper reporting of violations or potential violations to authorized enforcement agencies as appropriate or required. JD degree is needed. Should have 10+ years of legal experience, preferably at a top law firm followed by in-house positions of successively increasing responsibility. Understanding of and experience with regulatory and compliance statues is needed. (HIPAA, Graham Bliley, etc.) is needed. Excellent verbal and written communication skills is needed.
