Senior Counsel- Corporate Compliance Duties: Responsibility for managing and proactively implementing enhancements to elements of the ethics and compliance program consistent with initiatives and applicable laws throughout the Americas region. Will promote values and initiatives with primary responsibility for creatively engaging teammates, developing timely and effective compliance updates and training, identifying and developing mitigation processes for compliance risks, driving operationalization of compliance, and managing the ethics line system. Will also provide advice and representation on issues involving trade, sanctions, international laws, third-party risk, competition, anti-corruption, conflicts of interest, and fraud. Will be an integral part of compliance practice group working to promote a corporate culture of integrity. Provides effective advice and support in risk assessment, program design, implementation, and monitoring. He or she retains and oversees the work of outside counsel and vendors in these processes, and accurately forecasts, manages, and tracks spend to stay within budget. Will work closely with teammates at all levels and in a wide variety of business units and functional groups including trade, procurement, finance, internal audit, security, HR, IT, and legal. Advises and represents corporate clients on international trade, sanctions, competition, corruption, fraud, and other compliance laws. Maintains an in-depth understanding of the changing requirements for an effective ethics and compliance program under local and international standards. Conducts internal investigations and monitors, supports, and reports on the handling of ethics and compliance concerns through the ethics line. Plans and communicates ethics and compliance standards and procedures to teammates and third parties through policies, training programs, and publications. Leads projects for the compliance practice group aimed at harmonizing and enhancing regional ethics and compliance initiatives. Assists in the preparation of comprehensive proposals and reports as required in accordance with the program, CSR initiatives, ESG standards, or third-party requests. Oversees the due diligence, selection, retention, management, and evaluation of program consultants and vendors. Travels for training, regional meetings, and as needed to provide client services.

Qualifications: JD Degree or equivalent with superior academic credentials from an ABA accredited law school. Admitted to the Bar, able to practice law in the state of Tennessee. 5-10 years ?¢ experience in the legal profession including specialization in international trade and compliance, ideally including a law firm or government position and a corporate legal environment. Experience in implementing, reporting, and enhancing an ethics and compliance program, including compliance-related systems, processes, and internal controls. Preferred: Experience working with diverse senior leadership teams. Experience representing a corporate entity to a variety of governmental authorities (federal, state, and local). Demonstrated ethics and integrity, with clear understanding and adherence to ethical principles, company values, code of conduct, and policies. Strong understanding of people; able to give guidance regarding ethical decision-making, inspire and motivate team members, intercede in difficult situations, communicate corporate standards, and affect change. Excellent communication (written and oral) skills. Ability to quickly establish rapport and credibility with a variety of individuals at all levels. Fluency in English required. Fluency in Spanish or Portuguese is helpful. Purpose-driven and strategic approach to problem-solving along with the initiative and drive to handle the details of implementation and execute on schedule. Highly motivated, organized, efficient, and goal-oriented; able to manage multiple projects and work successfully in a fast-paced environment, both collaborating as a global team member and working independently.
