Senior Corporate Counsel The candidate will be responsible for advising PEH clients selected from the group consisting of firm's CentreOne, Sterile Injectables, Biosimilars, PEH Peri-LOE and LOE Brands, Meridian Medical Technologies, PEH4Good, and PEH s Anti-infectives team as well as PEH-wide transactions as needed, focusing on supporting leadership within these groups, particularly focusing on R&D and transactional matters. Will also serve in a leadership capacity for one or more client organizations and will provide strategic counsel on the operation of the business. Substantive areas will include advising on business transactions, R&D matters (which will involve working across legal platform groups), advertising and promotion, and anti-kickback and fraud and abuse. Finally, in the instance of PC1, provide advice on complex third party supply agreements, in which firm's is the seller and not purchaser of goods and services. This individual will be accountable for partnering with a wide variety of business clients and Legal colleagues to support the PEH business. Handle complex and critical matters with a high degree of independence and be highly capable and well-suited to working in a matrix environment to optimize client service. Operate as the lead counsel for the assigned marketed and/or investigational pharmaceutical products in the PEH portfolio (AI, MMT, eg), including training and advice to colleagues as needed. Understand the strategic and tactical objectives of the commercial teams served and develop creative and thoughtful solutions to key initiatives, taking into account current legal and regulatory landscapes, firm's policies and procedures and the current and future needs of the clients. Responsible for compliant support of business transactions, inclusive of early stage through commercial deals, including : Intellectual property licenses; Research and development agreements; License and supply agreements; Asset purchases and sales; M&A (typically in a supporting role to the Business Transactions team) and Amendments to ongoing alliances/partnerships. Responsible for alliance management within the above named groups, including renegotiations and transactions, but also general legal advice and, where necessary, coordinating legal support across the division to assist with complex matters. Responsible for providing comprehensive legal advice and counsel to the lead commercial client for each of the named groups and the respective organization s leadership team, proactively identifying areas of risk and opportunity. Support clients leaders to develop and implement operational plans and priorities in support of PEH vision and goals, including participating in operational and planning teams. Collaborate with WRD, manufacturing, regulatory and international legal colleagues to provide comprehensive legal advice and mitigate risk. Work closely with PEH Legal colleagues to coordinate legal advice and ensure optimized client service. Provide legal advice on new business models, business development models, and in association with various partnerships and other commercial arrangements, in each case, with respect to the assigned marketed and/or investigational pharmaceutical products in the PEH portfolio. Ensure compliance with legal policies and procedures, controls and statutory requirements within relevant business areas. Promote a culture of collaboration; working proactively and seamlessly with other colleagues to leverage collective firm's resources across the Division and BU and enterprise to create value to firm.

The candidate should have Admission to practice law in US. Must have demonstrated experience advising senior commercial leaders. Must have 8 years practicing law of experience. Extensive transactional experience advising clients on and negotiating complex business agreements is required. Knowledge of and familiarity with pharmaceutical advertising and promotional considerations is desirable. Must be able to understand and operate effectively in the firm's organization, particularly the matrix structure and enabling functions and business units.
