Corporate Counsel The candidate will provide legal support and advice to the corporate lending and international private banking functions of the organization. Will provide legal support to the corporate functions of the organization and other day-to-day matters, including contractual review and negotiation, compliance support, risk management, etc. Interact and liaise with other firm entities and outside legal counsel as may be necessary in accordance with the organization s processes. Advice and give support to cover a broad range of cross-border credit and other international and domestic financing transactions, including trade finance/ factoring, syndicated and admin agency lending, as well as review of financial services and corresponding products offered by the units from a transactional and regulatory perspective. Should have 5-8 years of experience as a practicing U.S. attorney, ideally a combination of in-house experience at an international bank or other financial services institution and at a national/regional law firm; Active FL or NY Bar membership; U.S. J.D. Should be bilingual. Should have the ability to speak, write and read English and Spanish fluently. Ability to identify and analyze legal issues in areas of practice and provide effective and practical advice and solutions to client on these issues in accordance with the necessary time line is required. Should have finance experience on behalf of financial institutions, including bi-lateral, syndicated, participated, trade finance and factoring transactions. Expertise with international banking services and products offered by financial institutions is needed. Should have experience dealing with state and national banking and securities regulators or self-regulatory organizations. Must have technical knowledge of ISDA Master Agreements, schedules and other financial instruments and products. Working knowledge of U.S. banking regulations, BSA/AML issues is required.
