Contracts Attorney Duties: Support the activities of the Senior Corporate Counsel and the General Counsel. Focus of the position is on technology and commercial contracting, including negotiation and management. Work effectively with the General Counsel and Senior Counsel on legal and compliance issues. Negotiate software-as-a-service subscription agreements, nondisclosure agreements, alliance agreements, license agreements, and integration agreements. Negotiate terms and conditions of vendor agreements; prepare and/or review proposed technology and consultant agreements, outsourcing agreements and other services and software contracts. Work closely with Contract Manager to ensure accurate and timely tracking of and compliance with contractual obligations. Maintain the confidentiality procedures of strategies, plans and other proprietary information. Review and setup procedures for compliance of Website related issues, including claims and links to other sites. Demonstrate a passion for customer service and commitment to provide legal compliance expertise to sales team . Provide advice and counsel to sales team and line functions as appropriate concerning the law that impacts their functional areas. Protect intellectual property by assisting with the preparation, revision and prosecution of trademark applications and copyright registrations, and monitoring filing and response deadlines. Contribute to the acceptance of product in the marketplace by addressing legal compliance issues raised by potential customers. Support the General Counsel in work with outside counsel for litigation and specialized areas.

QUALIFICATIONS: JD degree from an accredited law school. Active membership in good standing with a State Bar. 4+ years of multi-disciplinary legal background with corporate law experience. Expertise in or significant exposure to most of the following areas: Commercial technology transactions, Cloud-based computing and Internet issues, Data and privacy laws and regulations. 3+ years of experience in drafting and negotiating software/technology license and services contracts. Strong personal desire and ability to develop an in-depth knowledge of eOriginal s products and the rapidly evolving legal and business aspects of the electronic commerce industry. Ability to interpret and communicate technical and business concepts and relate them to law. Superior interpersonal skills to establish and maintain relationships with customers, vendors and staff. Makes a positive, professional impression; is highly credible, articulate and persuasive. Takes independent action to achieve goals; is self-directed and driving, but cooperates with others to share information, resolve issues and achieve goals. Exceptional oral and written communication skills, capable of providing sound and timely advice, able to make a positive contribution to a very collegial working environment. Able to independently manage deadlines and prioritize multiple tasks. Effectively uses information technology in research, analysis and decision making; keeps technical skills current with new and emerging capabilities; Advanced knowledge of Microsoft Office programs and strong keyboarding ability, flexibility and willingness to incorporate new technologies and programs into job activities. Preferred: Undergraduate business or Information Technology degree. In-house counsel experience. Member of the American Bar Association and one or more of its relevant sections (e.g., Science and Technology, Intellectual Property, Business Law). Recent experience in the fields of electronic contracting and data privacy (technologies, applications). Experience in any of the following:o Corporate financings through collateralization and securitization of commercial assetso Intellectual property (trademarks, copyrights, domain names)o Residential mortgage loan application, approval and closing processeso Perfection of security interests in chattel paper or other financial assets. Should have 3-5 years of experience with a law firm corporate transactional group or in-house legal department.
