Corporate Counsel - Contracts The candidate will report directly to the General Counsel. Will handle a variety of other commercial matters arising out of company's US operations. Support and enhance company's contracts function and contract management process. Track related metrics and prepare reports as required. Review, draft, negotiate and interpret a variety of agreements, including client and insurance carrier service agreements, vendor products and services agreements (including IT and other professional services) and other agreements arising out of company's operations. Ensure that all agreements accurately reflect company's business objectives and comply with all laws and regulatory requirements. Work closely with company management, other company legal representatives, and the Corporate legal department on strategic initiatives affecting contracts and commercial issues. Provide ongoing and proactive strategic advice regarding contractual and business risks and counsel on contract interpretation and potential dispute issues. Provide advice and counsel on a variety of legal matters that may arise out of company's operations, including IP, bankruptcy, privacy (including data security, HIPAA and GDPR) and regulatory issues. Work with legal representatives in analyzing the potential for contract automation (including the feasibility of implementing a contracts management system) and offshoring through company's India Service Center. The candidate should have a J.D. degree. Should be licensed in Illinois. Must have 4+ years of relevant commercial generalist experience, including hands on experience reviewing, drafting, negotiating and interpreting a variety of agreements. Law firm experience followed by in-house experience is desirable, as is insurance industry experience. Prior experience in a lead role within a contracts function, including the management of other professionals and working with contract management systems is needed. Evaluation and implementation of legal process outsourcing is a plus.
