Counsel, Privacy and Technology The candidate will lead the Legal department's efforts in the foregoing areas, working closely with Engineering, IT, Human Resources and Internal Audit teams, and interface regularly with members of executive and other business teams, to manage and execute on a broad range of privacy-, data security- and information management-related initiatives. Report directly to the General Counsel and Corporate Secretary. Review, draft, negotiate and provide business focused legal advice with respect to digital and technology commercial transactions including negotiating a variety of coverage area-specific commercial agreements, including license, vendor, SaaS, technology, master services, confidentiality and other agreements, and supporting the Legal department's negotiation of applicable privacy and data security provisions of inbound and outbound agreements. Draft privacy policies, related disclosures, disclaimers, FAQs and communications, and implement appropriate processes applicable to the foregoing. Have primary responsibility for the continued development of privacy strategy and compliance framework, developing and communicating controls, policies and procedures, perform risk assessments, monitor ongoing compliance and oversee the intersection of privacy and data security in collaboration with the information security team. Advise appropriate stakeholders on compliance matters across all aspects of US and, where applicable, international privacy laws and regulations, including data protection, retention, use/sharing, security and breach rules, as well as required privacy notices, regulatory filings and relevant process and infrastructure requirements, as applicable. Advise Marketing team on privacy implications of various marketing initiatives, including online advertising, behavioral advertising, affiliate marketing, mobile applications, social networking, email, SMS/text, and other customer-facing communications. Lead data incident response preparedness, including practicing and evolving data incident response plan. Work with information security team to support data incident response management, including determining and drafting any required third party notifications and related communications. Oversee information and records management, including alignment with privacy and security policies. Keep abreast, and advise on potential business impact, of proposed changes to applicable privacy, data security, consumer protection, marketing and related laws and regulations. Build close relationships with personnel at supported business operations, and obtain and maintain a strong knowledge of the products and objectives of those operations. Conduct periodic employee trainings on relevant matters, such as privacy, data protection and records management. Lead or assist the Legal department's efforts in the preparation, implementation and refinement of appropriate forms, processes and procedures relevant to areas of coverage. Manage outside counsel in all appropriate areas of coverage. Provide substantive support to other members of the Legal Department on an as-needed basis, including engaging in or leading due diligence and related support efforts on strategic transactions. Perform other special assignments or strategic projects as needed.

The candidate should have a J.D. degree from a top law school with exceptional academic credentials and 6-8 years of relevant experience, including 3+ years at a leading national law firm as a technology commercial transactions attorney with privacy/data security experience and significant time spent in-house at a technology or Internet (ideally consumer-facing web or e-commerce) company in roles of increasing responsibility. Must be admitted, active and in good standing with the New York State Bar, or with another State Bar and registered, or eligible to register, as in-house counsel with the State of New York. CIPP/US or CIPM certification preferred. Experience interacting directly with federal and state law enforcement personnel or privacy and data protection regulators a plus.
