Counsel - Corporate Transactions The candidate uses extensive knowledge and skills obtained through education and experience to provide legal advice and counsel in specific functional area(s). Participates in and may lead large or multiple projects with significant scope and impact. Works independently on difficult assignments that are broad in nature requiring originality and ingenuity with appreciable latitude for unreviewed actions or decisions. Provides comprehensive solutions to complex problems. Identify, research, analyze and resolve moderately complex legal issues. Provides legal review and represents the organization in assigned functional areas. Reviews legal issues and to ensure the organization s interests are protected. Coordinates with outside counsel in activities associated with functional areas as required. Drafts documents and performs legal research associated with assigned functional area(s). Prepares and delivers written and oral presentations to internal customers. Maintains currency in legal issues in an assigned functional area(s). Operates standard office equipment and uses required software applications. Prepare, review, provide advice and counsel for a sophisticated corporate procurement group. Prepare, review and comment upon third party supplier agreement for legal sufficiency, internal compliance and industry best practices. Such documents include software license agreements, software as a supplier agreements, and service agreements.
The candidate must have Juris Doctorate degree with excellent academic credentials and 2+ year of progressively responsible experience in relevant practice areas. Or Any equivalent combination of experience, education, and/or training approved by Human Resources. Ability to obtain Authorized House Counsel. Knowledge of: Investment concepts, practices and procedures used in the securities industry. Principles of banking and finance and securities industry operations. Financial markets and products. Skill in: Performing legal review. Providing legal representation. Reviewing for potential legal issues in assigned funcational area(s). Performing legal research. Preparing and delivering written and oral presentations. Operating standard office equipment and using required software applications. Ability to: Maintain currency in legal issues related to assigned functional area(s). Partner with other functional areas to accomplish objectives. Progressively learn about assigned functional area(s) and other business areas. Facilitate meetings, ensuring that all viewpoints, ideas and problems are addressed. Gather information, identify linkages and trends and apply findings to assignments. Read, interpret, analyze and apply regulatory and compliance information. Interpret and apply policies and identify and recommend changes as appropriate. Prioritize and manage multiple priorities in a fast-paced, dynamically changing environment. Communicate effectively, both orally and in writing. Work independently as well as collaboratively within a team environment. Handle stressful situations, a heavy diverse case load and provide a high level of customer service in a calm and professional manner. Establish and maintain effective working relationships at all levels of the organization.
