Corporate Counsel The candidate will work closely with business leaders and sales people to provide legal services including with respect to: complex and routine commercial contracts; product development privacy laws and information security; establishing contract policies, processes and tracking systems; establishing and overseeing corporate policy development, distribution and tracking; compliance; employee educational programs and other duties. This position reports to the Chief Legal and Compliance Officer and provides services for multiple business units and has varying responsibilities working with senior leadership and external parties. Draft, review, revise and negotiate customer contracts, vendor agreements technology licenses and other agreements. Develop contract administration policies, processes and systems. Work with business leaders to develop or enhance compliance strategies around data privacy, data security, information technology, intellectual property and other risk areas. Work with others across the organization to develop and maintain company policies and processes. Apply effective risk management techniques and offer proactive advice. Work with outside counsel, external stakeholders and service providers. Provide clarification on legal language or specifications. Must have 10+ years of progressive experience as a transactional attorney, with at least five years as in-house counsel. Extensive experience drafting and negotiating complex commercial agreements is essential. Proven experience as a legal counsel in business environment is essential. Should have JD degree from a top tier law school. Must be licensed to practice law in Colorado, or ability to obtain license in reasonable period of time.
