Associate General Counsel, Compliance and Regulatory The candidate advises management on a wide range of legal and compliance issues relating to Company business, including regulatory and corporate compliance, employment and labor law, corporate governance, internal controls, and risk management. Additional responsibilities include commercial law and complex transactions. Interacts with senior management, with all business units of the company, and with key external stakeholders. Develops and implements cost-efficient regulatory and corporate compliance programs with minimal intrusion on the business to manage risk effectively while providing a competitive advantage for firm. Manages firm s regulatory and corporate compliance program, including designing and developing programs, policies, and practices to ensure that all business units comply with federal, state, and local regulatory requirements. Serves as regulatory subject matter expert, including in areas such as antitrust, data privacy, anti-money laundering, and anti-corruption. Designs and delivers compliance training programs and prepares and delivers compliance reports to senior management. Counsels management and employees on employment and labor law matters and manages employment-related disputes. Develops, implements and monitors internal control systems (ICS) and coordinates with internal stakeholders to assure sufficient testing of key controls. Leads enterprise risk management function, including monitoring legal and compliance risks, assessing risk exposure, and periodically reporting to senior management. Advises management concerning regulatory compliance and corporate governance matters. Assists with administration of local corporate governance activities, in alignment with firm Group s governance requirements and objectives. Collaborates with legal and compliance colleagues throughout North America and internationally.

The candidate must have Law degree from a top-tier law school or equivalent. Active member in good standing of the California Bar is required. Should have 5-7 years of experience as a practicing attorney, preferably through a combination of major law firm and in-house experience. 2 years of experience in employment law counseling is needed. Experience advising major companies on regulatory and corporate compliance matters is must. In-depth knowledge of compliance program practices and procedures is essential. Solid knowledge and skills in interpreting and applying laws (especially regulatory compliance and labor law) is required. Demonstrated experience managing regulatory and corporate compliance programs, including monitoring regulatory requirements, employee training, tone-from-the-top messaging, and creating cost-effective compliance control programs is needed. Technology and Data Privacy law experience is helpful. Expertise in competition law and anti-corruption law compliance is an asset. Experience managing outside counsel is helpful. Proficient in Microsoft Office products (Outlook, Word, Excel, PowerPoint), Skype For Business, loop-up or other conference calling tools is essential.
