Associate General Counsel - General Practice and Litigation The candidate will manage a portfolio of litigation arising out of the company s business operations, including, but not limited to, landlord-tenant matters, real estate transactional disputes, land use and development competition issues, partnership/joint venture conflicts, contract disputes, infringement, employment matters, and regulatory compliance. Will provide day-to-day legal advice, counsel, and recommendations to internal clients on legal issues that arise out of business operations with an aim toward minimizing legal risk. Select, retain, and manage the activities of outside counsel, including legal fee budgets, staffing, and case management; review and edits briefs, affidavits, discovery responses, and material correspondence; develop settlement strategy; and negotiate settlements. Make strategic recommendations on case strategy in coordination with business partners, outside counsel, and Legal Department management, taking business objectives into account. Keep appropriate parties apprised of case developments. Prepare, distribute and monitor legal hold memoranda; develop and oversee e-discovery strategy and activity. Provide analysis of potential legal risks; analyze claims, gather facts, interview participants, review key documents; and prepare memoranda. Provide reporting to management and external auditors. Coordinate with internal insurance coverage counsel as applicable. Draft and respond to demand letters and prepare statements of the Company s position. Prepare and deliver written and oral presentations to internal clients. Ensure that the organization conducts business in compliance with applicable laws and regulations; assist in determining and enforcing company policy regarding legal issues. Identify areas of training, and develop and conduct internal training on legal topics of special interest to the business. Other duties as assigned.

The candidate should have J.D. Degree from a leading law school with proven academic success. Must be Member of Illinois Bar. Must have 6 years of relevant, substantive legal experience, preferably with 3 years of experience at a law firm. Prior in-house experience highly preferred. Hands on experience managing all aspects of general commercial / business litigation matters is a must; real estate transactional litigation experience is desirable; and construction and development / land use litigation experience is a plus. Experience with budgeting and basic accounting concepts is also a plus. Must have extremely strong oral and written communication skills (writing sample required).
