Corporate Attorney The candidate will serve as in-house counsel and handle day-to-day legal matters and projects. Will provide direct legal support to the Company s US and International employees and requires the ability to collaborate, influence and lead diverse business groups (i.e. Executive, Sales, Marketing, R&D, Manufacturing etc.) throughout the organization. Draft, review and negotiate a wide range of agreements/contracts with suppliers, customers, consultants, service providers, distributors and employees. Agreements would include: purchasing, distribution, master service, joint marketing, consignment, outsourcing, nondisclosure, confidentiality, corporate venturing, consulting, and other agreements as requested. Identify and implement best practices related to contract drafting and review process in coordination with other departments. Provide solutions-oriented legal advice to internal stakeholders regarding legal risks associated with contracting matters, company policies and legal and regulatory issues. Guide managers and ensure compliance with rules and regulations. Consult and handle corporate legal processes (e.g. intellectual property, mergers & acquisitions, compliance, legal agreements, patents, etc.). Coordinate and manage legal matters handled by subject matter experts and outside counsel. When needed assist Human Resources in compliance with all applicable employment laws including visas, global employment contracts and agreements. Provide general support to business functional areas such as assistance in preparation of requests for proposals, responding to questions regarding contracts and other requests for general legal support. Oversight of work with various functional areas of the Division to determine their export/import needs, and develop and implement appropriate strategies to meet business requirements. Assist in the development and implementation of trade compliance policies and procedures. Other types of legal services may be assigned as required to support the business.

The candidate must have Juris Doctorate degree from an ABA accredited law school and currently licensed to practice law in the U.S. Should have 5-10 years of experience in the practice of commercial and corporate law, preferably with a recognized law firm and/or corporate legal department. Experience in Patent and/or International Law a plus. Should have significant prior experience drafting, reviewing and negotiating commercial and corporate agreements/contracts. Must have excellent written and oral communication skills and the ability to communicate complex topics to non-lawyers and strong commercial negotiation experience.
