Corporate Counsel/Associate Corporate Counsel The candidate responsibilities include: Develop in-depth knowledge of Superion s products/solutions, services, and business models; Work extensively with IT and Data Security Teams, providing legal advice in the areas of data privacy/security and cybersecurity (GDPR experience is helpful); ensuring appropriate data privacy/security requirements are codified in applicable commercial agreements; and assisting in the development of related policies and procedures; Support the development and oversight of a robust corporate governance and compliance program; Support corporate M&A initiatives, including drafting preliminary agreements, conducting legal due diligence, and managing the integration of acquired entities; Provide training and education to internal teams to ensure conformity and consistency in application of legal policies and procedures; Conduct legal research on diverse substantive matters; Provide support for matters relating to intellectual property; Support other general corporate matters and special projects from time to time; and Provide sound and practical legal advice as a key member of the Superion team. Should have experience serving in a broad capacity. Some of the functional/substantive areas in which this individual will work include to, M&A, data privacy/security, commercial transactions, and litigation/claims, among others. Must have excellent business judgment and strategic skills, and work well with diverse Business Units and Internal Stakeholders. The candidate should have Juris Doctorate (JD) from top law school; member in good standing of the FL State Bar, or the ability to be admitted in FL as Registered In-house Counsel. Will have at least 2-5 years of relevant legal experience (experience will determine which title is appropriate), including working in a sophisticated, relevant industry i.e. software/technology. Should have [practice at a major law firm and/or prior in-house experience, preferably both. Must have ability to interact comfortably with executives and senior management; strong verbal and analytical skills; exceptional interpersonal skills; a commitment to professionalism; and a solid business acumen. Should have experience in the software industry is desirable, as is a willingness to travel occasionally.
