Counsel - Commercial Contracts The candidate reporting to the Senior Counsel Legal, provides front line legal and contractual support to all Superion business units, particularly Sales and Services. Will be primarily responsible for supporting transactions for the sale and support of Superion products and services. This role will be vested will a substantial amount of autonomy and the ability to effect change within a rapidly-expanding organization. Draft, review, and negotiate Software License Agreements, SaaS Agreements, Maintenance and Support Agreements, and Subcontractor Agreements in support of the sales of Superion s software products and services. Work with business team members to draft, review, negotiate, and process a variety of commercial agreements, including IT and technology agreements, NDAs/confidentiality agreements, vendor agreements, service agreements, channel partner agreements, and M&A agreements, among others. Coordinate and support contracts initiatives with all internal business units, including, but not limited to, Sales, Services, HR, Finance, IT, and Legal team management. Gain familiarity with contract processes and procedures and develop and implement processes and procedures to mitigate risk, scale, and derive efficiencies and improvements within the contract lifecycle. Develop contractual templates, procedures and controls to standardize contacts management, and additional contracting guidance, policy, and training documents. Under minimal supervision, support and facilitate special legal/contracts projects and initiatives, as required. Provide legal/contractual guidance to business team members. Manage and support a team of contracts specialists, providing guidance and serving as an escalation point. Assist Senior Counsel with new initiatives and systems/tools to develop new processes and/or automate workflows within the contract lifecycle. Support M&A activity, including drafting preliminary agreements, conducting legal due diligence, and developing integration plans. Support responses to Government RFPs/RFIs and Solicitations. The candidate requires 5 years of legal/contracts experience in a corporate setting. Bachelor's Degree required; Juris Doctorate (JD) preferred. Must be able to perform essential responsibilities with or without accommodations. Should have experience drafting, reviewing, and negotiating a wide-breadth of commercial agreements, including technology/software agreements, subcontractor agreements, professional services agreements, and vendor agreements, among others. Must be well-versed in conducting legal research in support of contracting initiatives. Experience with Gov t Contracting preferred. Legal and contracts background is required. Must be experienced negotiator. Should have familiarity with Google Docs, Gmail, Microsoft Office applications, including Excel, Word, Power Point, SharePoint and Outlook, Adobe Acrobat Pro, DocuSign, and Salesforce. Must have experience in drafting custom/unique contractual language for a technology company. should have anagement and leadership experience and abilities.
