Employment Law ERISA/Benefits Counsel The candidate will provide legal guidance and support to members of the Legal and Human Resources Departments on employee compensation and benefit matters. Advise on design, compliance and administrative issues associated with the Company s executive compensation plans and arrangements. Equity plans (stock and incentive plan, ESPP, and UK Savings Related Share Plan), including ensuring compliance with tax, securities and foreign exchange control requirements in the approximately 57 countries in which the Company issues equity; Executive severance and change in control plans, including the preparation and negotiation of executive severance agreements as assigned; Non-qualified deferred compensation plans; and Retention programs. Advise on and draft an executive compensation recoupment policy and corporate aircraft policy. Advise on design, compliance and administrative issues associated with the Company s US employee benefit plans, including: Tax-qualified retirement plans, both defined benefit and defined contribution plans; Self-insured health plans; Various welfare and fringe benefit plans (i.e., short and long-term disability, life insurance, employee assistance, wellness, etc.). Draft and maintain applicable plan documents, including equity plans and underlying terms and conditions documents and executive severance plans, tax-qualified retirement plans and self-insured health plan. Advise on design, compliance and administrative issues associated with the Company s non-US employee benefit programs, including in the United Kingdom. Serve as legal counsel to various committees established to administer the Company s global retirement and health and welfare programs, as assigned, with a particular emphasis on advising on compliance with fiduciary duties and responsibilities. Assist with employee benefit issues implicated in mergers, acquisitions, divestitures and restructurings including conducting due diligence, drafting retention agreements for employees of acquired company who are remaining with organization post-close, and advise on issues associated with the integration of employee benefit programs after the consummation of a transaction; and related activities as assigned. Keeps current on legislative issues, statutes, and decisions. Manage outside counsel relationships as engaged to support the above-listed responsibilities. Should have JD degree from an accredited U.S. law school and admission to a state Bar. Should have 8+ years of legal experience in employee compensation and benefits area. Should have experience working as an attorney in the area of executive compensation and employee benefits (ERISA) with or advising a publicly-traded company. Should preferably have LLM (in Taxation). Experience managing outside counsel is a plus. Should preferably have experience working in law firm setting. Experience working in-house for a publicly traded company is essential.
