General Counsel and Vice President, Legal Affairs and Compliance The candidate will oversee and provide legal counsel, guidance, and support for agency-wide activities, programs, initiatives, policies, transactions and business operations. Will be responsible for protecting the organization's legal interest and maintaining its operations within the scope established by law. Provide hands-on counsel to all members of the executive staff and board of directors while managing the operations of the legal department. Monitor, identify and analyze legal matters of public policy relevant to the non-profit sector and the cultural community. Oversee and manage litigation impacting the agency and present clear recommendations to the executive staff and board of directors. Responsible for drafting, negotiating and overseeing contracts and/or legal agreements related to agency programs and initiatives including funding agreements, licenses, capital projects, real estate, leasing, etc. to ensure compliance with applicable laws, regulations, and policies. Provide legal counsel on a range of legal issues including but not limited to areas of non-profit law and corporate governance, real estate transactions, safety, workers compensation, labor and employment, compliance, and regulatory affairs. Develop, initiate, maintain, revise and train staff on policies and procedures for the general operation of compliance and its related activities to prevent illegal, unethical, or improper conduct. Oversee the compliance department to ensure real-time, reliable communication on progress of compliance goals and/or outcomes. Participate in defining and developing corporate policies, procedures, and programs. Collaborate with other departments to direct compliance issues to the appropriate existing channels for investigation and resolution. Identify potential areas of risk and implement corrective action plans for resolution; provide guidance and/or training on how to avoid future risks. Responsible for selecting, evaluating and managing outside legal counsel and expert advisors as needed. Assist in the planning and strategic development process by providing legal and business advice relating to the operations of the agency.

The candidate must be a graduate of an accredited law school with a Juris Doctorate (JD) and admission to the Georgia Bar. Should have 10+ years of general counsel experience including nonprofit law, corporate law, litigation, employment law, etc. Understanding of and experience with regulatory and compliance statutes is required. Experience with tax-exempt organization law is needed. Ability to draft and revise policies, regulations, briefs and legal responses is must.
