Corporate Counsel The candidate will draft and negotiate various agreements of relative complexity, predominantly in the area of Procurement/ Buy-side agreements including various services and supply agreements/master services agreements, market research, patient support programs, COGS, construction, Information Technology/SAAS/data, detailing, contracted workforce, consulting, finance, contract manufacturing agreements. Will draft/negotiate on contracts with experts such as: Investigator Sponsored Studies, advisory boards, sponsorships, grants. Analyze contracts for FCPA, fraud and abuse, FDA, and other regulatory compliance. Keep up to date on current laws and regulations. Interface with internal management and external parties to gather specifications, and terms of agreement necessary for contract drafting and negotiations. Advise on legal rights under contracts on matters subject to disputes. Manage contract assignments post acquisition or divestiture. Manage outside counsel (and associated spend) for certain matters. Lead and/or contribute to cross-functional and legal teams and work streams on standardizing, simplifying, harmonizing and mechanizing the contracting process and forms. Draft templates. Draft playbooks for deviations from templates. Draft SOPs for contracting in North America. Prepare training materials and conducting training on using templates or on process. Communicate company contract policies and requirements and analyze contracts projects to highlight compliance risks. Establish partnerships with representatives of different legal teams, functions and business units for all businesses within North American perimeter; and with global colleagues. Create, understand and apply best practices of the different groups. Audit work of trained users who draft or negotiate contracts (outside of Legal function). JD degree from an accredited law school is needed. Should have 2-5 years of post - JD degree experience. Prior experience at either a law firm with a significant transactional practice and knowledge of contracts OR as a member of an in-house legal department negotiating commercial contracts. Licensed to practice law in a US state, and either in good standing in New Jersey or able to obtain a NJ limited license for in-house counsel is needed. Knowledge of pharmaceutical laws is preferred. Strong contract drafting and negotiation skill is essential.
