Nutrition & Health Corporate Counsel The candidate provides a wide range of legal support to various business units and functions with company Nutrition and Health, including general commercial and corporate legal support, contract negotiation and drafting, corporate compliance, and other related duties. May serve as primary commercial legal resource for specific business units, product lines, key accounts and/or strategic initiatives. May also serve as primary legal resource for specified regional office or in specified legal practice area (as applicable). Ensures corporate compliance with local and national law and regulations, as well as company policies. Drafts, reviews and negotiates commercial contracts of a diverse nature with external, international parties balancing commercial opportunities and risk mitigation within the Nutrition & Health business. Provides strategy, direction and guidance to internal stakeholders in legal matters end-to-end in product cycle and across the supply chain. Counsels on a broad variety of legal subjects, including company, food, pharma, antitrust, intellectual property and employment laws. Assesses and manages legal risks by ensuring legal compliance and applying company policies and procedures. Provides management with legal analysis and recommendations regarding threatened disputes and litigation and engages outside counsel representing company to ensure requisite expert legal advice is obtained when/as necessary. Identifies business needs for and delivers education on selected legal subjects. Establishes strong and collaborative relationships with business and management teams that are open, balanced, objective and have integrity. Keeps Legal management and business leaders well informed of significant case developments. Contributing to the further development of company Legal process optimization, and legal tools. M&A activities, project management and other duties, as directed by Associate General Counsel. A Juris Doctorate degree from an accredited law school required. Must be licensed member and in good standing of at least one US state Bar. Should have 4-5 years of experience practicing as a licensed attorney at a law firm, corporation or with the government. Experience required in drafting, negotiating and implementing commercial contracts within product supplies, joint development and transactions. Experience preferred within antitrust, dispute resolution, risk management plus food and pharma laws. Should have excellent analytical and problem-solving skills, including ability to make recommendations. Exceptional verbal and written communication skills necessary to communicate with all levels of management and other parts of the organization. Time management and organizational skills necessary to independently manage and appropriately prioritize case load, to meet deadlines and goals. Should have ability to maintain confidentiality and project a professional image at all times. Must have software skills, including use of Microsoft Office software and web-based applications.
