Senior Corporate Counsel - Partner Alliances The candidate main focus of the role will be to support one of most important Partner strategic alliances. The other focus of role will be to support additional strategic Partner relationships (often global in nature and built around XaaS, managed/cloud services, virtual, subscription and recurring revenue business models) and to provide support for focused Partner programs as company continues to evolve its Partner Ecosystem go-to-market model. At all times, will also provide thought leadership for other Legal team members engaged in supporting Partner business in other theaters. Working closely with selective Global Partner Program teams will build highly impactful legal frameworks and develop commercial strategies that support company s go-to-market models, programs, promotions and incentives. Establishing trusted advisor relationships with the leadership teams you support. In particular, will provide input on business and contracting strategies, being a first point of contact on new opportunities and all legal issues while providing ongoing business advice and counsel. Where required, provide additional Partner related support to other members of the GPO and wider company legal team (including non-US legal support).

The candidate should have experience of the following: Structuring, drafting and negotiating complex Partner, Reseller and Distribution contracts (both traditional and non-traditional business models) Working cross-functionally to support and manage all aspects of the legal sales relationship with key Partners. Will also act in a subject matter expert advisory capacity to other company legal team members conducting company s Partner business outside of the US.Proficiency with basic US Anti-trust law (e.g. price discrimination, price fixing, predatory pricing, tying etc.). Understanding of and relevant experience in intellectual property law, commercial contracts and business law. Must have direct experience negotiating complex Partner/Resale business and licensing transactions. Should have experience in software licensing and SaaS/Cloud and Managed Services transactions and developing and building programs and business models in the SaaS/Cloud and Managed Services space. Must have 8 years of experience practicing law. Should have strong communications, influencing and soft skills, including the ability to presents complex issues in a clear and concise manner. The ability to understand complex business models and complex contract schemes is required. Should have Strong leadership skills and willingness to collaborate, share knowledge, respond quickly to urgent matters and execute proactively.
