Director, Associate General Counsel - Corporate

Director, Associate General Counsel - Corporate The candidate assists Group with its contract review and negotiation, mergers and acquisitions and other transactional matters, regulatory and compliance matters, operations and procurement matters and general business and legal needs. Provides practical, business-minded legal counsel and support to senior management and business leaders across all business segments. Drives process improvements and promotes a culture of compliance. Reports to SVP & General Counsel. Drafts, reviews, negotiates and advises on a variety of commercial agreements, including NDAs, supply agreements, customer agreements, consulting agreements, purchase order terms and conditions, finance agreements, distribution contracts, manufacturing and storage contracts, shipping and transportation contracts, customer and vendor contracts and information technology contracts. Provides daily and on-going legal and business counseling to segment leadership and personnel in a variety of subject matter areas, including general corporate, regulatory and compliance and operations. Contributes to the development of policies and procedures on various issues and the preparation of internal training regarding same. Interfaces directly with customers' and vendors' legal procurement and contracting personnel, as well as internal executive leadership. Works with cross functional teams to complete projects and improve processes to achieve better efficiency and productivity. Assists with Group's legal and regulatory compliance initiatives, including policy drafting and associate training. Serves on corporate mergers and acquisitions team, with a specific focus on legal due diligence, letters of intent, purchase agreements and related M&A documentation. Collaborates with other cross-functional M&A team members. Performs other related duties as assigned. Should have a J.D. degree. Must have 10+ years of legal experience with a significant focus on corporate transactional work, and drafting and negotiating commercial contracts. Application Deadline: 31 August, 2018.
