Junior Attorney - Contracts, Technology and Services The candidate will review, draft, negotiate and redline a wide variety of technology agreements that may include the following: master agreements; support agreements (work orders and change orders); alliance agreements; reseller agreements, non-disclosure agreements, letter agreements, licenses, and work order templates. Will partner with the sales and delivery teams to better understand the needs of the business so they are accurately reflected in the transactional documents being reviewed. Provide strategic advice, contract interpretation, and risk assessment on commercial contract matters to business teams as needed. Identify, communicate, and escalate issues appropriately to ensure compliance with company contracting policies and risk positions. This could include topics such as acceptance criteria, project milestones, reporting requirements and tracking, data protection, anti-corruption, export compliance, audit needs, and subcontracting requirements, data security and data privacy. Balance a large workload consisting of numerous urgent requests while communicating proactively with, and remaining responsive to, internal and external clients. Participate in the coordination of final reviews and approvals by appropriate internal teams in accordance with company policy. Work closely with legal and business deal management teams to identify opportunities to improve and support contract management tools, templates, reports, methods and processes to the deal review process. Develop and deliver trainings and/or playbooks to various firm teams under topics such as drafting skills, understanding of company policies and contract negotiating positions. Must have JD degree. Bachelor s degree is required. Professional certifications or courses in contract management, and/or J.D. degree is preferred. Must have considerable experience handling legal issues in technology agreements, while demonstrating a well-rounded business perspective and solution-oriented approach. Should have 2+ years of experience as in-house counsel. OR Experience 8+ years of experience as a contract specialist, contract administrator, paralegal or similar position in a fast-paced corporate multinational legal group, for candidates without a JD degree. Experience in structuring, negotiating, drafting and reviewing technology agreements or similar equivalent is needed. Strong transactional drafting and negotiation skills is needed. Comprehensive knowledge of IT issues affecting transactional support, including technical, business, compliance, and legal issues is needed. Superior communication skills and experience with active listening and understanding information gathered from various sources, and ability to communicate promptly and pragmatically in a business context across a global organization, in person and virtually, across time zones as needed.
