Senior Staff Attorney, Legal/Compliance Duties: Reviews drafts, revises, and negotiates commercial documents (e.g., service agreements, software and intellectual property licenses, distribution agreements) with internal business clients, vendors, and other third parties. Provides primary legal support for Company s vendor management and operations teams, assisting with matters related to commercial transactions and management ongoing operations. Works with outside counsel as needed. Works under direction of internal Senior Counsel, but with limited supervision and oversight. Review, draft, and negotiate broad range of commercial contracts, ensuring that they are in compliance with legal, regulatory, and Company policy. Provide legal advice and counsel to in-house clients on matters relating to commercial transactions and coordinate with other areas of the Company. Work collaboratively on a variety of projects with internal and external counsel, consultants, third parties, and internal business clients. Follow effective processes to ensure that corporate transactions are conducted in a manner that accomplishes commercial goals while mitigating potential risk exposure, including monitoring the contract process to assure compliance with law and Company guidelines, and satisfaction of customer objectives. Requirements: Licensed attorney; Juris Doctor from accredited law school. 5 years corporate legal experience in private practice or comparable in-house counsel setting. Strong business acumen and negotiation skills, able to advise internal clients and advocate on behalf of the Company with third parties. Knowledge of federal, state and local laws. Strong leadership, interpersonal, and communication skills to establish and maintain relationships with relevant internal counsel, business clients, and other Company stakeholders. Preferred: 5 years of experience in corporate transactions, vendor contracts, and business law.
