Job Description Business Title: Counsel/Investment Tax Consultant Business Unit: U.S. Law & Compliance Functional Group: Legal Location: U.S. Boston, MA Reports to: Vice President, Counsel Tax People Manager: No Job Summary: The Counsel/Investment Tax Consultant is a member of the Tax Practice Group within John Hancock s Law & Compliance function. The Tax Practice Group provides legal services to John Hancock and other Manulife business units and legal entities relative to matters involving the applicability and impact of US federal and state tax laws on John Hancock and Manulife products, businesses, customers and employees. While the Counsel/ Investment & Corporate Tax Consultant is expected to possess or develop and maintain the skills necessary to provide the full array of tax advisory services provided by the Tax Practice Group, the main focus of the position is to provide tax counsel and advice to Company personnel on all aspects of the taxation of the Company s investments, corporate transactions and third-party asset management relationships. Key Accountabilities: Investment Counsel Responsibilities: Provide legal advice to the Manulife and its affiliated companies on tax considerations relative to the taxation of the Company s investments, corporate transactions and third-party asset management relationships, including Company sponsored or managed funds. Provide advice, direction and instruction to personnel in the Company s investment, business, legal, finance, accounting, and systems functions on the tax planning opportunities and compliance requirements relative to the all of the Company s investing activities, Provide advice and assistance to personnel in the Company s business, legal, finance and accounting functions in support of the preparation of prospectuses, marketing materials and other customer disclosures, Advise the Company of known investment related tax risks and assess and report to the appropriate Company officers as to whether those risks are appropriately identified, assessed, monitored and reported on in compliance with the Company s Tax Risk Policy, Provide any other legal advice that management may require ln addition to providing advice, assist in the execution of plans or projects that are assigned by management When addressing tax issues, collaborate, assist, inform, and seek the involvement of other personnel in the Investment Law function and Law & Compliance who possess expertise in other areas of law as appropriate. Zealously and ethically advocate the best interests of the Company in all matters and assignments Knowledge/Skills/Competencies: Legal Expertise Advanced knowledge of: Federal, state and international taxation of investments and investment vehicles, in including REITs Strategic Thinking Embrace and offer innovative solutions and ideas Personal Effectiveness Analytical problem solving, conceptual and analytic thinking Identifies the most significant issues in complex problems Discovers new ways of thinking about and approaching key business issues Thinks and plans logically, making sure issues are thoroughly evaluated from all perspectives People Leadership Operates with a team orientation; involves others, building support and buy-in Communication Presents ideas and issues articulately to reach a diverse set of audiences Can make issues compelling if warranted by their importance Implementing Strategy Planning for implementation: Sets specific personal objectives and drives to the important results Achievement Orientation Problem identification and resolution Decision Authorities Provide legal opinions vertically and horizontally within Company Represent Company as its attorney in external environment Key Performance Goals/Measurement: Key Metrics: Quality of legal work product, contribution to business results, client feedback. Educational Requirements and Experience: J.
