Commercial/Compliance Counsel Duties and Responsibilities include the following: Review, drafting, negotiation, interpretation and enforcement of a wide range of commercial contracts with customers, suppliers, distributors, service providers, licensing partners, and other third parties; Development, implementation and management of policies and processes relating to Company contracts; Implementation, management and monitoring of the Company s compliance programs, including conducting investigations related to the Company s Code of Business Conduct & Ethics and Anti-Corruption Compliance Program, providing periodic training of employees, and monitoring compliance with other legal and corporate policies; Coordination and management of global patent and trademark portfolio together with outside counsel and internal business partners worldwide; Assistance in managing the docket relating to, and providing advice and support regarding litigation and disputes, including product liability, personal injury, employment practices, commercial disputes, etc.; Providing advice and guidance regarding statutory, regulatory and legal changes impacting the Company s business operations. The candidate should have J.D. degree from a recognized law school and license to practice law in at least one U.S. jurisdiction with the ability to gain admission as authorized in-house counsel in Florida. Doctorate or better in Law preferred. Should have 4-6 years of broad commercial/business law experience, preferably from a combination of a law firm and a corporate legal department. In-house experience in a manufacturing or consumer products company is preferred; Strong negotiation skills and experience drafting, reviewing, evaluating and communicating key terms of commercial agreements and the ability to bring a pragmatic approach to the contracting process that accomplishes the Company objectives while identifying and mitigating risks; A solid understanding of basic commercial and contract law and experience with IP, sales, advertising/marketing, import/customs and anti-corruption law; Experience implementing a corporate ethics compliance program and conducting internal investigations; Ability to travel (domestic and international).
