Corporate Counsel Location: Coral Gables, FL Role and Responsibilities: This is a rare opportunity to bring your hard-earned legal experience to take on a dynamic, fast-moving and corporate and commercial based role. Cable & Wireless is a leading telecoms and cable TV operator, and part of the Liberty Latin America Group, with operations in countries across Latin America and the Caribbean. CWC is recruiting a Corporate Counsel to join their already high performing team. You will be part of an enthusiastic, supportive and close-knit team, responsible for providing executive-level legal support to the corporate and commercial functions within Cable & Wireless, including Finance, HR, M&A, Strategy and Procurement. The role will also play a significant role in shaping various strategies and processes for the Legal Team, as well as support for the Commercial team at HQ. You will be proactive, solutions-oriented and adept at engaging across functions, while providing best in class legal business partnering to senior divisional stakeholders, directing key initiatives across a broad range of matters, analysing complex legal issues, challenging the business, developing strategies, creating tangible improvements in business performance and communicating legal advice constructively and succinctly. You are a lawyer with minimum five years of corporate experience working in private practice and/or in-house. You will be confident and personable with excellent communication, negotiation and influencing skills, not to mention tech-savvy. You will have exceptional commercial acumen as well as great organization and project management skills. Key responsibilities shall include: Assist and support on internal corporate restructures; mergers, dissolutions and formations; shareholder and board actions and issues Support on M&A transactions within a fast paced and dynamic team and work alongside banking, corporate and commercial lawyers Legal guidance and advice on disclosure matters, including earnings releases, bond reports, and quarterly and annual reports Assist and support HR on employment matters, severance agreements and U.S. labor queries Oversee the corporate secretarial function in the group Research US corporation laws, prepare minutes/resolutions for actions, and monitor compliance for entities within the group Oversight of litigation across the group Provide support and advice on corporate and commercial contracts Handle negotiations, review and drafting of related documents as well as provide analysis and counsel on certain transactions Keep abreast of relevant legal developments and current developments within the business and in the legal and regulatory environment, including the SEC, in order to provide the highest quality of legal and commercial support Keeping abreast of new legislation and current industry trends and regulatory matters which impact the company and advising key stakeholders on the same. Legal operations work closely with the General Counsel to coordinate the team and department initiatives Qualifications and Experience: Minimum 5 years relevant legal experience LL.B. or JD from a well-respected University Demonstrated ability as a team member to help build consensus among disparate interests to achieve business goals Excellent technical legal skills, including contract negotiation and drafting Strong working knowledge of broad range of legal practice areas including contracting, litigation, real estate and intellectual property issues Demonstrated ability to move complex legal issues and projects through a corporate organization from conception through implementation Technologically-savvy, including Powerpoint & Excel Excellent interpersonal, organizational and communication skills Strong business acumen and analytical skills as an attorney Experience in developing markets, particularly Caribbean and LATAM, would be viewed favorably but is not essential Must be reliable and professional Ability to manage projects and assignments requiring independent judgement Ability to secure sound commercial outcomes Min 3 years of M&A, securities, capital markets or general corporate experience in private practice at well-known law firm Securities and corporate finance experience/background Good understanding of the commercial, legal and political context in which the company and its subsidiaries operates Key Behaviors: Highly motivated self-starter but willing and able to follow direction Excellent communication / presentation skills Strong influencing skills Agent for change will constructively challenge status quo Able to manage stakeholders at all levels, including senior leaders within a matrix structure Thrives under pressure in a customer facing delivery environment Strong interpersonal skills Problem solver Confident personality Analytical and efficient Ethical and acts with integrity Strong team player - able to contribute positively and work with other teams to ensure commercial needs are met Flexible and adaptable taking into account the varying and developing jurisdictions in which we operate Collaborative Willing to put strong effort into all work regardless of its size/profile Significant Demands: Travel to the operating units may be required on particular projects, as required. Must be able to put extra effort and time in when the commercial needs of the business dictate (e.g. to meet a project/customer deadline).
