Associate General Counsel - Contracts Management The candidate will assist the Company and its various business units with the business and legal aspects of drafting, reviewing, negotiating and executing a variety of sophisticated commercial contracts and other legal matters relating to the success of the business. From time to time, this may include legal advice and support on contract disputes, regulatory matters, real estate issues, as well as legal training for the business units legal team. Will liaise as needed with other support and business functions to resolve issues. The attorney will also be involved in the administration of the Business Insurance group and supervising legal support personnel. Draft, review, negotiate, and analyzes commercial agreements including customer, joint venture, vendor and purchase and/or sale agreements. Supervise and manage regional staff attorneys, business insurance group and legal support staff to ensure the implementation of approved policies/procedures to mitigate risk and advise internal clients. Prepare and negotiate a broad range of commercial agreements including complex commercial and joint ventures, real estate purchase and lease agreements, contractor and sub-contractor agreements. Develop, provide legal input and deliver training courses to increase the Companys awareness of relevant legal issues. Drafting, reviewing, negotiating and executing a variety of sophisticated commercial contracts and other legal matters relating to the success of the business. Provide legal advice and support on contract disputes, regulatory matters, real estate issues, as well as legal training for the operating entities legal team. Partner with other support and business functions to resolve contractual issues and ensure the delivery of seamless and focused legal counsel. Manage the administration of the Business Insurance group and supervise legal support personnel. Performing legal due diligence review of customer, vendor and other contracts to identify risk considerations and exposures. Reviewing revisions to standard agreements and evaluating third party agreement templates. Drafting and negotiating sub-contractor agreements to ensure level of service/performance required. Ensure all enterprise wide contractual documents are compliant with HMG policies and maintain an understanding of the impact of any changes in HMG policies, organizational structure, and procedures. Should have 8-10 years of transactional/commercial law experience with a large law firm and/or in-house corporate experience. Juris Doctor from an accredited law school required. Must have Active license in good standing to practice law.
