Real Estate Counsel The candidate will provide legal support in furtherance of firms business strategy to develop utility-scale wind and solar energy projects in the United States. Will review, draft and negotiate various site control agreements and documentation. In such role, the attorney will support firms development, construction, operations and finance teams by reviewing site control opportunities, securing land rights, permits and entitlements, resolving title issues including mineral rights waivers, managing lender real estate due diligence and negotiating land sale transactions. Support other development and transactional work from time to time, such as equipment procurement agreements, transmission service and interconnection agreements, PPAs and REC agreements, consulting contracts, EPC agreements and O&M and warranty agreements. Be responsible for foreseeing and protecting the Company against legal risks and is expected to rely on experience and judgment to plan and accomplish goals. Negotiate and draft lease option and purchase option agreements, leases, easements, shared facilities agreements, crossing agreements, and mineral rights waivers or shared use agreements. Identify and resolve title issues and negotiate and obtain title insurance policies and endorsements. Maintain and track all land agreements. Coordinate with project development team to ensure land-related components are financeable. Advise project teams on negotiations with various project stakeholders (e.g. landowners, regulatory agencies, governmental decision-makers, title companies, etc.). Assist with financing and M&A transactions, including by performing due diligence on site control documents, permitting documents, obtaining estoppels and coordinating title matters. Maintain and continuously improve standard form agreements, where applicable; such as option agreements, purchase and sale agreements, leases, term sheets and related form contracts. Manage outside local counsel. Coordinate efforts with other corporate legal and senior management staff regarding corporate and project requirements to ensure maximum value and appropriate risk management. Identify critical project risk issues and make recommendations. Cross-team collaboration and coordination of legal workload with colleagues. Work as a team and as an effective manager of resources, both internal and external.

The candidate should have Law degree (J.D.) and must be admitted in a U.S. jurisdiction to practice law. Must have 5-10 years of experience as a real estate lawyer in the renewable space, including specific legal knowledge and experience in solar and/or wind real estate matters. Familiarity in some of the following areas preferred: energy transmission, interconnection agreements, local government permitting, negotiation of tax abatement agreements and special use permits essential. Familiarity with construction issues and contracts preferred, including with respect to mechanics liens, lien waivers, bonds, health and safety matters, permit compliance, and decommissioning. Working knowledge of utility-scale, solar PV market in the U.S. preferred. Experience as in-house counsel preferred. Training with top tier law firm preferred. Must be proficient in Windows environment, MS Office, Outlook, Excel; technically savvy.
