Corporate Counsel The candidate will act as primary legal counsel for a wide array of matters associated with advertising law, production of commercials and long form video content, and advertising sales. Review of contests and sweepstakes to ensure full compliance with federal and applicable state laws. Act as primary legal counsel for Ad Sales Representation Agreements in which company acts as ad sales agent for a third party, or in which a third party represents company as ad sales agent. Collaborate with business team and outside counsel on disclosures and regulations around Political Advertising (including political file disclosures, internal guidelines and internal training materials). Issues to be resolved will require a solid working knowledge of FCC regulations governing political advertisements by candidates and issue groups, and coordination with business team, including governmental and public affairs teams, often on a fast-paced basis. Partner with Supply Chain on vendor agreements in general. Collaborate with CCI Legal subject matter experts on vendor agreements impacting issues such as data sale, data use and privacy. Work closely with Supply Chain on Consulting Agreements to engage consultants to advise company on business needs. Collaborate with CCI Legal on Content License Agreements (i.e., agreements in which company licenses content from third party to place on LO channels and/or to sub distribute to third parties). Partner with CCI Legal on intellectual property issues that arise, primarily in the context of commercial production and airing of third party produced commercials. Provide legal advice in connection with companys ownership interest in entities such as Ad Link, Canoe Ventures and NCC. Such advice may relate to Corporate Governance Issues (e.g. address questions relating to rights in NCC or Canoe vis- -vis partners), amendments to governing documents, documentation of motions and board meeting minutes and the like. Advise on legal and contract questions, dispute resolution involving disputes with vendor and clients, and new business developments (apps, acting as advertising agency for clients). Coordinate review of Production Truck Leases, in which company is either lessor or lessee of a production vehicle for live production events. Attend company staff meetings and company leadership meetings on request to advise on legal issues. Collaborate with and will refer employment, privacy, and compliance and other matters to appropriate subject matter expert counsel at CCI. Must have JD degree from an accredited law school and admission to the state Bar in which the attorney resides or eligibility to practice as registered in-house counsel. Should have 10+ years of legal experience in advertising law areas preferred, comprised of law firm and in-house counsel experience. Knowledge of commercial and political advertising law required. Must have experience in understanding privacy matters relating to data usage and advertising. Should have knowledge of FTC regulations, advertising and UDAP laws. Familiarity with IAB and online advertising, tagging and online data collection a plus.
