Counsel - Finance and Fleet Responsibilities: Responsible primarily for supporting and advising the Corporate Finance group within the Legal Department, which provides counsel, advice and legal support to the Treasury department of the Company with respect to corporate finance and banking matters, and, on a more limited basis, to the Fleet team on fleet transactions matters. Works with external corporate finance attorneys and legal professionals in order to ensure timely and effective support with respect to corporate finance, banking and fleet transactions matters, including: Lease and debt financing of aircraft, including offerings of enhanced equipment trust certificates (EETCs). Term loans and revolving credit facilities secured by various assets. Aircraft acquisition and disposition agreements. Participates in the review of the Companys 1934 Act reports to the Securities and Exchange Commission. Provides practical, compliant and strategic legal advice and counsel to Treasury, Fleet, Accounting and management on a variety of issues as matters arise. Functions as a financing and securities law subject matter expert, staying current with developments, trends and practices. Strategically and in a cost-effective manner, manages and partners with outside counsel in financing and securities laws matters.

Qualifications: Bachelors and JD Degree. Bar admission and active member in good standing in at least one state. 5+ years of extensive large firm experience practicing corporate finance and securities law for large, sophisticated companies. Broad knowledge of federal securities laws, aircraft finance instruments and leases, loan agreements, credit and security agreements, and asset sale agreements. Excellent analytical skills and the ability to render persuasive, diplomatic, practical, creative and legally compliant advice in a timely fashion. Excellent business acumen with the judgment and ability to advise on financing and securities law issues within the business context. Excellent written and oral communication skills, especially of complex issues. Excellent interpersonal skills and strong planning/organization abilities. Effective problem-solving and decision-making skills. Proven ability to interact effectively with all levels of corporate management. Ability to handle multiple priorities and handle high-pressure situations and short deadlines. Preferred: Extensive knowledge of aviation financing. Knowledge of Microsoft Office including Word, Excel, PowerPoint, Outlook, etc. Airline experience.
