Corporate Counsel Responsibilities: Support Passports efforts in integrating the operations, a recently acquired company that is a wholly owned subsidiary of Passport. Will involve harmonizing the contracting processes and systems and supporting new sales opportunities that will be enabled from the combined set of products and capabilities, as well as coordinating the legal aspects of consolidation activities like combining shared tools and services. Will also provide legal training to functional business units on Passport policies and procedures. Drafting and negotiating complex sales and procurement contracts. Supporting the preparation of business development proposals. Advising business teams on legal issues relating to product offerings and third party relationships. Assisting in the preparation of internal company policies, maintaining the company's policy library, coordinating review and update of policies, and supporting audits for compliance. Researching and reporting to the General Counsel and senior leadership regarding matters such as data privacy and information security, payments processing, and accessibility. Supporting due diligence in connection with mergers, acquisitions, or other strategic investments, and preparing and negotiating deal paperwork. Overseeing the preparation and filing of annual reports and other required filings. Performing other corporate, transactional, and governance tasks and ad hoc projects, such as litigation matters, as needed.

Qualifications: JD Degree from an ABA-accredited institution Active Bar licensure (North Carolina preferred). 6+ years experience in private law practice or in-house, preferably a combination of both. Experience negotiating and drafting commercial contracts, specifically from a SaaS perspective. Proficiency with G Suite, Microsoft Office, Adobe Acrobat Pro, and Mac laptops and operating systems. Strong written and oral communication skills. Self-starter with strong desire to learn. Exceptionally detail-oriented and organized. Able to prioritize and multitask. Able to support business colleagues with varying degrees of business and legal maturity. Able to own projects through to completion in a timely manner with minimal supervision. Excellent teamwork skills and ability to work collaboratively with a wide variety of individuals at all levels within the company. Preferred Qualifications: 2-4 years of experience supporting post-closing integration efforts, preferably in high-growth, venture-backed companies. Knowledge of GDPR and other privacy laws relating to personal data.
