Associate Corporate Counsel

Associate Corporate Counsel Duties: Review, draft, and negotiate a heavy volume and wide variety of contracts, including entertainment, sales, food and beverage, lodging, event, marketing, sponsorship, supply, equipment agreements, and maintenance and service contracts. Advise on contest, sweepstakes, promotions, and advertising compliance, particularly on social media and digital platforms and create official rules and other supporting documentation. Conduct research on a wide variety of issues. Coordinate ongoing regulatory compliance with respect to matters such as business, labor & employment, liquor and child care licensing. Collaborate with and provide assistance to legal department colleagues and policy specialists on various legal and regulatory issues. Interact with vendors and vendors counsel regarding commercial agreement negotiation. Work with legal, business and operations teams to improve contracting processes and management, including developing internal policies regarding the same. Assist with transactional work, including the drafting of NDA s, LOI s and definitive agreements, as well as assist with all aspects of transactional due diligence.

REQUIREMENTS: Law degree from internationally recognized university / law school. Must be currently admitted or eligible for admission to practice law in the State of Colorado and currently admitted in the State of California. 5+ years of continuous applicable legal experience with a large in-house legal department or Significant experience as a business lawyer at a major Canadian or American law firm. Experience in both a major law firm and an in-house legal department is desirable. Knowledge of pertinent laws and regulations in Colorado and California. Must be able to efficiently handle multiple priorities and deadlines and must have strong oral and written communication skills with the ability to communicate effectively and with a high level of business acumen. French language an asset. Employment law experience in California is an asset. Ability to operate independently and also within a team environment. Superior organizational skills. Sharp attention to detail; demonstrated thoroughness and excellence in all aspects of work. Ability to prioritize and consistently meet deadlines. Excellent analytical and interpretive skills with the ability to summarize and draw conclusions. Results driven, high-energy team player who approaches challenges with enthusiasm in a fast moving and high-pressure environment. Discrete in handling confidential matters. Ability to travel to Company resorts in the United States and Canada, as needed.
