Corporate Counsel Responsibilities: Handle a wide range of commercial contracts including: Purchase Agreements, License Agreements, Partner Agreements, Distributor/Reseller Agreements, Maintenance Contracts, Statements of Work, Non-Disclosure Agreements with customers, vendors, and third parties. Analyze significant and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations and Spirent corporate policies. Solicit in an organized and timely fashion input from internal stakeholders including engineering, global services, finance management and legal on customer requirements. Agree with business stakeholders negotiation strategy with customers and lead negotiation on contracts in time sensitive situations. Draft, review and evaluate requests for revisions to existing contracts. Manage contract administration policies, systems and procedures. Requirements: JD Degree is required as is in-house experience with a small legal team working with large customers. New Jersey license to practice law, or ability to obtain a NJ in-house license. Extensive experience in drafting and negotiating supplier and/or customer contracts. A strong background in all types of software licensing contracts, ideally in the telecommunications sector. Able to think on their feet and bring about swift resolution of contractual matters and engage at a senior level with customers and the Companys own management team. Computer skills including Microsoft office products. Outstanding verbal and written communication skills Ability to remain calm under pressure, handle a rapidly changing environment, and shift from one task to another Self-motivated to take ownership of projects and functions and get things done Passion for detail, outstanding organizational skills, and excellent follow-through.
