Senior Counsel, Government Investigations and Litigation Responsibilities: Proactively manage complex government and internal investigations, litigation and related matters across the enterprise by: providing advice and counsel to company executives regarding complex government and internal investigations and litigation; planning and handling complex government and internal investigations and litigation, including creating the investigation and litigation workplan, timeline, and approach to discovery, and implementing the same; conducting interviews of company employees as needed in such investigations and litigation selecting and managing outside counsel as needed for the most complex government investigations and litigation, developing budgets for such outside counsel retentions, and holding outside counsel to such budgets; updating company executives on the status of such investigations and litigation; representing the company with external investigators, including attorneys for government agencies, such as the Department of Justice, Office of Inspector General, Federal Bureau of Investigation, the Securities and Exchange Commission, and State Attorneys General and State Investigators; developing deep knowledge of the business and actively monitoring financial, auditing and regulatory compliance matters, the need for investigations, anticipating litigation matters and activities that could give rise to the need for an investigation or could create potential litigation; managing case assessments, discovery processes, fact and evidence gathering, and witness preparation, interviews and depositions; preparing investigation plans, drafting investigation notes and reports, and leading opening, update and final calls with company executives on investigations and litigation matters; interacting and negotiating with external investigators, including attorneys for government agencies, such as the Department of Justice, Office of Inspector General, Federal Bureau of Investigation, the Securities and Exchange Commission, and State Attorneys General and State Investigators; providing tactical and strategic input on a range of pleadings such as protective orders, discovery related motions, motions to dismiss, etc.; proactively analyzing, evaluating, and recommending settlement opportunities and summarizing such opportunities for company executives; conducting post action reviews with internal stakeholders at appropriate levels; initiating insurance brokers and insurance carrier notifications, monitoring insurance coverage and liaising with risk management professionals; and performing other duties as assigned. The Senior Counsel, Government Investigations and Litigation provides a variety of general corporate and commercial legal services to company executives and other internal stakeholders. Acts as advisor on legal issues involving the companys various complex government and regulatory compliance, with emphasis on financial, auditing, and regulatory compliance for public company disclosure. Reviews legal data and advises company executives and other internal stakeholders on appropriate legal action to be taken. Coordinates legal matters handled by outside counsel. Demonstrates experience in general corporate matters, with significant subject matter expertise in government investigations and litigation. Help lead Legal & Compliance to become a world-class high-performing company.

Qualifications: 10 years of experience providing legal counsel to clients, with the company or in an equivalent attorney role at another company, not-for-profit, law firm, or government agency regarding complex government investigations and litigation. 10 years of experience managing complex government investigations and litigation with government agencies. Experience managing complex government investigations and litigation with government investigators under challenging timelines across multiple regulatory areas, including inquiries from the government regarding financial, auditing, and regulatory compliance with emphasis on public company disclosure requirements. Ability to navigate and work across multiple internal and external stakeholders to develop, communicate, and support the companys short-term and long-term business objectives. Exceptional business acumen and solid financial skills. A demonstrated track record active as an innovative thought leader and business partner to executives in high profile matters, including public company financial disclosures, auditing and regulatory compliance. Understands and utilizes work force analytics. Continuously establishes clear goals and uses data and metrics to achieve best in class results and business goals. Strong track record of leading, managing, and improving people and processes. Proven experience and expertise in leading a large and complex organization through transformation from one of a largely independent stand-alone business units to a more fully integrated and strategically aligned organization. In-depth knowledge of corporate organizations. Thorough knowledge of public company securities, finance, auditing, and regulatory compliance, and public company disclosure requirements. Excellent interpersonal skills with an ability to provide sound, clear legal advice to clients. Aptitude to work well with larger team on seeking efficiencies for legal support. Ability to manage simultaneous investigations and litigation in an efficient and timely manner. Outstanding verbal and written communication skills and advanced knowledge of the law regarding the Sarbanes-Oxley Act and the Securities and Exchange Act (and the implementing regulations and policies of both statutes) particularly as they relate to public company financial disclosures and related auditing and regulatory compliance.
