Compliance Counsel The candidate: Supports and participates in the development of the Companys comprehensive ethics, business conduct, compliance, and privacy functions under the direction of department management. Supports the operations of ethics, compliance, and data privacy solutions within the business. Supports the ethics and compliance functions response to the company-wide confidential concerns reporting helpline. Conducts investigations of alleged violations of the Companys ethical standards, compliance with applicable laws, regulations and corporate policy issues. Ensures that all issues brought to the attention of the Ethics and Compliance function are appropriately addressed. Drives adoption of standards of conduct and ethical relationships with customers, contractors, suppliers, employees, stakeholders and the communities in which the organization operates. Provides expert advice on the interpretation of the Companys Ethics and Compliance Code and associated policies. Provides input for, and supports timely assessments and updates on, ethics, compliance, and data privacy matters to individual internal stakeholders, management committees, and other senior management. Supports ethics and compliance risk assessments and audits of the ethics and compliance function. Develops and supports the launch and implementation of ethics, business conduct, compliance, and data privacy training and communications. Stays abreast of relevant pending regulatory developments at the federal and state levels through reference sources and advises relevant members of management regarding such developments. Supports ethics and compliance focus groups and other in-person outreach activities. Supports coordination and oversight of the Companys annual conflict of interest questionnaire. Demonstrates commitment to compliance with applicable laws and regulations, the Companys Ethics and Compliance Code, and other Company policies and procedures, and takes all required training courses. Demonstrates commitment to, and supports others in understanding and living out, the Companys core values (Respect, Accountability, Integrity, Initiative, and Safety) and business practices. Handles other related ethics, compliance, data privacy, and legal responsibilities as assigned. Bachelors degree and a J.D. (Doctor of Jurisprudence) degree required from an accredited law school. CCEP certification preferred. Must have 2+ years of ethics and compliance experience at a law firm or as in-house counsel and must be eligible to practice in at least one state in the United States, preferably Texas. Experience in energy and utilities, including with gas and electric transmission and distribution work, is a plus. Experience in managing and conducting internal investigations required. Data privacy experience preferred. Posting End Date: March 12, 2019.
