Legal Risk & Compliance - Corporate Counsel Duties: Drafting and negotiating customer/sales contracts and commercials contracts including vendor/service provider agreements; employment matters; corporate governance; M&A and capital transactions; cap table and option plan administration support; regulatory and compliance support; and litigation support.Additionally, you will advise management and support the group on all matters, present and future, impacting the company the group, as needed. Support Sales team to close new opportunities by negotiating non-standard agreements efficiently; communicate openly with Sales team on deal structure and contract negotiations. Draft, negotiate and manage business-to-business contracts and other commercial agreements, such as vendor and partner agreements; support our procurement function. Balance legal and business risk during negotiations. Primary contact for drafting and implementing new and updated agreement templates. Assist in the management of contract documentation flow, approvals, and reporting consistent with internal processes. Assist with the M&A process including pre-planning, execution and integration. Assist with debt and equity instruments and other corporate finance matters. Review and negotiate nondisclosure agreements (NDAs). Conduct training of personnel on various legal and compliance topics. Research, evaluate and advise management on recent or prospective changes in laws and regulation and risk mitigation strategies.

Qualifications: Bachelor's degree or equivalent required. JD Degree required from an accredited law school and a current active Bar license in at least 1+ state. 2-5 years of legal experience required; law firm experience or in-house experience with a fast moving, dynamic company with a corporate/transactional focus is preferred. Practical experience in commercial contracting and licensing (Saas); solid knowledge of commercial, contract and IP law and revenue recognition principles; knowledge of complex legal issues in technology contracts. Proficient in handling topics such as privacy, security, and data protection in the commercial contract context. Experience with M&A and capital (debt and equity) transactions. Familiarity with employment law and related matters is a plus. Ability to provide sound business advice to various teams throughout a fast-paced, fast-growing company. Ability to work cross functionally and build trust across the organization at all levels. Excellent analytical and critical-thinking skills. Strong communication skills, both written and verbal, at any level of an organization. Excellent organizational skills; highly detail-oriented. Ability to work independently and prioritize multiple, often competing deliverables while managing expectations and meeting deadlines. Proficient computer skills, Microsoft Office Suite (Word and Excel).
