Compliance Counsel

Compliance Counsel Duties: Reporting directly to Chief Compliance Officer and Vice President for Environmental Affairs, will be the first team member dedicated directly to the compliance team. As such key person, will provide primary support in building, enhancing and implementing our regulatory and corporate compliance program, and assist in maintaining a culture of ethics and compliance throughout the organization through education, resources, advice and counsel to ensure that the company and its personnel comply with applicable rules and regulations and the companys policies and procedures, and that behavior in the organization meets the standards of conduct set forth in the companys Code of Business Conduct and Ethics. He/she will contribute to our compliance by identifying regulatory and corporate compliance risks arising in our growing business and work on enhancing and implementing our compliance program, ensuring that the company exercises due diligence and sound internal controls to operate with integrity and protect against such risks. Develop a strong understanding of our business and industry and the associated risks and regulatory requirements impacting employees as we grow. Provide support in development, enhancement and implementation of the regulatory and corporate compliance program to address and mitigate risks arising in our business, including updating and developing new corporate policies to satisfy regulatory requirements and best practices in ethics and regulatory and corporate compliance. Provide regulatory and compliance support to sales, marketing, procurement, corporate development, HR and operations teams in the course of our business and growth. Assist in building processes and systems, including trainings and templates, to facilitate and enable compliance support for the companys expected growth. Develop and review, in conjunction with the Legal, HR and Audit teams, regulatory and compliance requirements for our contracts and business execution on a wide range of projects. Develop, implement, and oversee action plans to remedy any compliance deficiencies. Manage outside counsel on any compliance related investigations and establish best practices for prevention of future compliance matters. As the first dedicated member of the compliance team, establish a strong rapport and working relationship with legal, HR and audit teams to leverage organization in maintaining a strong ethics and compliance culture.

Qualifications: JD Degree from an accredited law school; must be licensed to practice law in at least one state. 5+ years of regulatory and compliance legal experience in law firm and/or in-house legal environments; experience working with manufacturing and/or international companies is preferred. Experience identifying compliance issues and providing advice responsively and effectively with a solution-oriented approach, with emphasis on compliance and best practices in the arena of antibribery, sanctions, antitrust, ethics, export-import, records management, IT, social media; experience in environmental compliance is a plus. Experience in developing and executing corporate compliance policies, trainings and internal processes and procedures to mitigate compliance risks. Demonstrated ability to review, understand, analyze, and interpret a broad variety of regulatory requirements applicable to our business, including working with foreign counsel on foreign law requirements. Experience responding and managing internal and governmental compliance-related investigations and litigation, including responding to demand letters and government agencies. Demonstrated business acumen and good judgment, including the ability to see the big picture  and the relationship of compliance risk and business issues. A self-starter with a demonstrated ability to simultaneously manage a variety of assignments and competing priorities, meet deadlines, and to comfortably adapt to change and ambiguity within a growing company and a fast-paced, demanding environment. A team player with ability to work cross-functionally and pro-actively with various internal and external teams and stakeholders. Superior written and verbal communication skills (including presentations) and great attention to detail is essential. Able to make right decisions quickly and seek guidance when appropriate. A commitment to professional growth and receptivity to feedback. Demonstrate interest and aptitude to learn, grow, and take on more proactive role and leading initiative in performing your responsibilities.
