Corporate Counsel The successful candidate will be responsible for reviewing, negotiating, and drafting a wide range of technology contracts and subcontracts with public and private sector customers, including licensing agreements, teaming agreements, reseller agreements, framework agreements, and responses to requests for proposals and tenders. Support compliance with state, local, and federal procurement laws, directives, rules, and regulations, and will create and train employees on company policies related to government contracting. Work directly with the business, providing day-to-day advice for senior executives and other business members on government contracting issues, resolving issues that arise in existing relationships, and handling pre-litigation legal disputes and inquiries.
The candidate must have a Bachelor of Arts degree (B.A.) or Bachelor of Science degree (B.S.C.) or Bachelor of Law Degree (LLB) or equivalent from reputable university. Should be admitted to practice law in Virginia (or eligibility to waive in/serve as an in-house counsel under applicable rules). 5+ years of public sector focused transactional legal experience is needed. Previous work experience in a top rated law firm or in-house at a technology company is critical. Knowledge of local and federal government procurement processes and contracting laws, rules, and regulations in the United States with federal and state customers is essential. In-house experience at a major cloud or technology business, serving as legal counsel for sales professionals is preferred. In-house or law firm experience supporting companies that sell to Education or EdTech customers is beneficial. Experience counseling clients on personal data (e.g., HIPAA), student privacy, and related laws and regulations is an asset.
