Corporate Counsel The candidate will be responsible for contributing to the administration and coordination of contracts specific to enterprise sales, technology, business development, marketing, consulting, and NDAs. Additionally, position will be required to assist General Counsel in areas of corporate governance, M&A, and compliance. Prepare, review and negotiate various contracts involving service purchases, vendor/customer relationships, licenses, technology development, employment agreements and leases, among others. Design efficient processes for drafting, negotiating, executing and tracking commercial contracts. Prepare forms of contracts, terms and conditions and other legal documentation; develop and implement strategic legal initiatives and training geared toward risk mitigation and efficiency. Manage US and foreign entity governance compliance, including preparing minutes, resolutions, and other governance documents. Support General Counsel and business leaders with due diligence and other activities related to M&A, dispute resolution, corporate policies and procedures, and administration in potentially sensitive and highly complex matters. Coordination with and manage outside legal counsel. Anticipate, guard, and advise against legal and compliance risks involving the company and its areas of business. Minimum travel required.
The candidate Should have Juris Doctor (J. D.) from an ABA-accredited law school. Must have/receive membership to the bar association in one of the states in which attorney practices. 8+ years of combined experience required, seeking a mix of law firm, healthcare, pharma, CRO or software organization. Prefer 4+ years in a corporate in-house legal department. Practical approach to advising business colleagues is required. Advanced computer skills, including MS Word, MS Outlook, MS Excel and Internet research required.
