Senior Corporate Counsel, Legal & Regulatory The candidate will be responsible to supplement all functions of the Assistant General Counsel role working across all departments / functions of the organization to provide legal advice on all work-related legal matters via professional and legal representation to create opinions in all substantive areas of law affecting IDT to minimize business risks and proposes practical solutions to mitigate risks that promote business development. Supports the General Counsel related to establishing and managing the litigation process to include administrative hearings and arbitrations; investigates, monitors and resolves disputes which may lead to litigation while coordinating advice furnished by outside attorneys who possess special expertise, supervising and assisting outside counsel, and coordinating electronic discovery compliance. Contributes to high-level strategic discussions and decisions about the future strategy and growth of the company and plan for changing legal demands associated with business growth generally. Develops and maintains a solid understanding of the various business processes to ensure legal support and enables the success of functions including Human Resources, Purchasing, Shipping, Information Systems, Licensing, Regulatory, Marketing, Customer Care, Invoicing and Collections, Environmental Health & Safety, and Facilities. Develops, drafts, revises and interprets policies to establish and enhance regulatory and business standards compliance and responds to inquiries from regulatory agencies, customers and the business community. Supports the oversight of risk management activity, including review of various programs and practices to ensure that risk is understood and minimized, and that insurance and other programs to mitigate risk are in place. Guides with a strong ethical sense, supports development and implementation of the companys compliance function to include compliance with federal and state statutes and regulations, compliance training, and internal investigations related to compliance. Advises management on the implementation and maintenance of an effective culture of compliance within the organization. Contributes as a key legal advisor and/or negotiator on all major business transactions to include negotiating, drafting, and reviewing high risk contracts advice, conducting investigations, counseling and executing on all legal issues; particularly relating to Employment Law, Discrimination, Diversity and Equal Employment Opportunity, Corporate, Regulatory, Contract and Intellectual Property law. Supports IDTs real estate transactions, litigation, settlements, administrative hearings and issues of real property and land use. Utilizes internal resources effectively, including administrative staff and paralegals to contribute to a high-performance team. Enables others to be successful. Manages international service providers to provide back office support where necessary. Provides advice to Boards and Committees in their oversight of the business. Oversees specialized legal projects as needed, such as Contract Administration, Department Recordkeeping, Litigation Holds, E-Discovery, IT Security, EH&S Safety and Business Continuity Plan. Defines requirements, qualifies vendors and manages and implements a technically advanced solution to corporate-wide duties and liabilities. Assists in the representation of IDT in administrative hearings and arbitrations, investigation, monitoring and resolution of disputes which may lead to litigation while arranging for advice furnished by outside attorneys who possess special expertise, and supervising and assisting outside counsel in litigation. Provides legal support for other functions. Acts as a business partner to provide legal support for internal company functions including HR, IT, Finance, Supply Chain, EH&S and Facilities. Enables these other functions to be successful. Demonstrates behavior consistent with the Integrated firm Core Values. Performs other duties as assigned.

The candidate must have Doctorate of Jurisprudence (J.D.) from a top tier law school. Member in good standing of the Bar of any US state is required. Participating in continuing legal education (through membership in the State and local Bar Associations and ongoing reading of legal periodicals and attendance at seminars) is essential. 3 10 years of practice experience in a corporate law department, business environment or comparable law firm is needed. Experience in Litigation Management, Intellectual Property, Contract, Employment and Construction/Property law is critical. Experience resolving conflict between groups with opposing perspectives, agendas or priorities is necessary. Excellent analytical research and precision documentation writing skills are must.
