Vice President, Commercial Contracts and Legal Counsel

Vice President, Commercial Contracts and Legal Counsel The candidate will drive Company-wide commercial contracts policy, processes and improvements, in addition to providing day-to-day support for commercial agreements worldwide. Will be driving improvements in and, ideally, automation of Sanminas customer contracts negotiation and execution process (this will include scoping, budgeting and advocating for increased use of contract negotiators and/or outsourced or offshore contract negotiation capabilities and software-based workflow management tools). Assess and develop walk away positions for key contract terms and methods to ensure escalations for requests to waive such terms. Helping define and implement government contracts compliance program to ensure Company is able to comply with FARs and DFARs flowed down to it by government contractors. Other initiatives and projects as may be assigned by the Head of Legal. Drafting, reviewing and negotiating customer, supplier, vendor and other commercial agreements. Updating and maintaining Legal Department commercial agreement forms. Providing advice to Sales, Supply Chain and other departments regarding commercial contracts matters. Providing internal training on contracts best practices and key terms. Maintaining or causing to be maintained database of signed commercial contracts. Managing the activities of one or more commercial attorneys or contracts negotiators. Other duties as may be assigned by the Head of Legal. Should have JD degree and current membership with a State Bar (preferably California) and 15 years experience in commercial contracts matters, preferably at both a law firm and in-house. Experience in manufacturing business a plus.
