Corporate Counsel The candidate will primarily be responsible for reviewing, drafting, and negotiating licenses and commercial contracts and assisting with privacy and data protection issues, working directly with internal stakeholders and external customers on a vast array of matters. Review, draft and negotiate contracts on behalf of the company including licenses, technology agreements, services agreements, master agreements, SOWs, amendments, change orders, and other legal documents. Ensure compliance with privacy and data regulations. Participates in the development of corporate policies, procedures and programs. Develop and update internal contract templates and forms. Collaborate with legal, accounting, marketing, information technology and other internal stakeholders in developing and leading contract process and legal risk mitigation improvements and advising on legal risks. Work with external counsel on trademark and patent issues and strategy Escalate non-standard, complex matters to appropriate internal resource. Research and anticipate unique legal issues that could impact the company. Work on additional projects and initiatives as directed by the General Counsel. Must have law degree from a recognized university. Must be admitted to a recognized state bar. Should have 4+ years experience in a large law firm and/or in-house environment. Must have experience negotiating and drafting commercial contracts, licenses, joint ventures and partnership arrangements. Additional experience with/knowledge of data security, privacy, intellectual property, mergers & acquisitions and/or investments and/or international contracting considerations is a plus. Must have advanced degree of JD.
