Corporate Legal Counsel/Contracts Specialist Attorney The candidate will be responsible for providing mostly transactional/contracts in-house legal services to the company. Primary responsibility is to act as the in-house IT/software/ASP/SaaS/hardware/reseller contract negotiation wizard/guru/ninja. Will work mostly autonomously in a fast-paced, revenue driven environment, coordinate with the needed internal stakeholders, and provide practical legal/business/contract advice. Bring a wealth of enterprise IT knowledge and general business oriented legal advice. Expertly draft, negotiate, and advise the business on, complex IT/software/technology agreements including agreements for: software license, professional IT services, ASP, SaaS, cloud, NDA/non-disclosure/confidentiality; open source software license, APIs, mobile, software development, hardware, and software click-through/shrink-wrap. Wizard for ASP, SaaS, and cloud agreements. Expertly draft, negotiate, and advise the business on, multi-tier IT related reseller/distribution/partner/alliance agreements. Expertly draft, negotiate, and advise the business on, various general commercial agreements. Outstanding ability exercise sound judgment when negotiating contracts on which issues to yield on and which to push back, taking into account company legal/contract risk profile, overall transaction risk, business deadlines, and customer/partner negotiation disposition. Extraordinary ability to offer creative contract drafting solutions/alternatives during contract negotiations to enable the business units to close deals and at the same time reasonably protect the company. Laser beam attention to detail and supreme command of written English. Advise executive business team as to best practices and procedures. Manage companys risk while balancing the need to grow the business. Expert at engaging with needed business development and administrative units in order to build solid and comprehensive contract templates/forms. Outstanding ability to keep overall transaction goals in mind while ensuring all contract details are accounted for. Must be able to maintain high work product quality while working at brisk pace. Respond timely to legal requests from business units and effectively explain legal issues and risks in a way that business people can understand. Address day-to-day in-house/business related legal issues. Prioritize workload, manage simultaneous tasks, and meet deadlines in a changing fast-paced environment. Operate with a high degree of autonomy but willing to follow company, and legal department, policies and practices, along with direction from the General Counsel, even if candidate has approached issues from a difference perspective in the past. Willing to put in extra effort, and time, during peak business times, e.g. end of month and end of quarter. Manage open source software licensing. Be at ease negotiating against sophisticated customer procurement teams and specialized IT procurement supporting in-house legal counsel, including those in the Fortune 500. Support outside litigation counsel as the in-house interface (no litigation experience required). Highly self-motivated, energetic, and passionate about being an in-house counsel, with emphasis on being approachable, warm, and a trusted advisor to the business. Various special legal projects including some compliance. The candidate should have Juris Doctor (JD) from ABA accredited law school. Must be Member in good standing of NJ or NY Bar, or eligible to practice law as a limited license in-house counsel under NJ judiciary rules. Must have 8 + years of total legal experience including. 2+ years of in-house experience needed. Employment law experience nice to have. Must have outstanding writing, presentation, & communication skills. Must have strong negotiation skills and solid business instinct/judgment. Must be expert with MS Word and Windows.
