Contracts Counsel The candidate will be responsible for the efficient and effective preparation, review and negotiation of a variety of non-loan related contracts between the Bank or its affiliates and unaffiliated parties, including third-party service providers and vendors. In addition, will be responsible for administering the Legal Departments role in the Banks contract management process, including maintaining contract records, partnering with internal business stakeholders and external vendors, and maintaining an effective tracking and tickler system. Reports to Senior Banking Counsel. Contracts Counsel must be a detail-oriented, critical-thinking professional who is highly organized, solutions and results driven, understands the role and purpose of contracts and the contracting process within an organization, able to manage multiple high priority items at the same time, and enjoys working with the business stakeholders to achieve their objectives in the contracting process. Prepare, review, negotiate, and interpret contracts (including among others, confidentiality agreements, service agreements, consulting agreements, and amendments), ensuring business needs and priorities are met and regulatory issues are addressed, while addressing and minimizing potential risks.Read, understand, and analyze standard business and legal terms, identify issues and risks, and suggest potential solutions. Escalate issues to higher level decision makers as necessary. Utilize and maintain contract forms, templates, standard clauses, checklists, guidelines, and policies. Coordinate and process information and responses from business stakeholders and other Legal Department members to utilize in contract review and negotiation. Maintain and update the contracts database to store/retrieve contracts, track contract status and milestones, and report on upcoming contract renewals or expirations. Prepare reports and statistics to facilitate the planning and maintenance of contract records. Assist with projects such as enterprise risk management, contract efficiency and contract tracking and reporting initiatives under the supervision of in-house attorneys. Examples may include projects such as assisting in the preparation of internal client communications and conducting internal client training on topics such as confidentiality and contracting requirements, developing template reports and designing and implementing SharePoint sites or other appropriate tracking tools. Provide training and guidance to business partners regarding the contract review and approval process, contracts management, and potential risks.Participate in and assist with the resolution of contract disputes and claims

The candidate should have J.D. from an accredited law school and 2 years of experience in a contract attorney position or an equivalent combination of education and experience. Active license to practice law in Arizona or other U.S. Jurisdiction is required. Must have advanced knowledge of contract law. Familiarity with regulations applicable to financial institutions, or understanding of highly regulated industries and ability to learn applicable banking regulations is required. Should have experience in contract drafting, negotiation and administration. Must have knowledge in some or all facets of the following: civil procedure, loan and deposit compliance regulations, and the Uniform Commercial Code. Should have solid understanding of contractual risk exposure. Must have keen attention to detail, excellent analytical ability, and a commitment to producing high quality work product. Should have excellent written and verbal communication skills. Must have exceptional interpersonal and presentation skills. Should have exceptional organizational and time management skills.
