Counsel 4, Corporate Trust Services The candidate will be in the Structured Products & Commercial Services (SPCS) Section and will lead legal support of the Default and Restructuring Group (DRG) within Corporate Trust Services business. Responsibilities include: Providing both practical and legal advice on corporate finance, municipal finance, aircraft leasing, insurance trust, 1031 exchange and similar transactions, as well as securitization transactions of all types, particularly transactions in or near default;. Assisting with regulatory compliance requirements and management of legal and operational risk; Contribute to drafting and revisions to CTS transactional document templates and reviewing and negotiating transaction related agreements, including settlement and similar agreements; Develop and maintain relationships with key internal constituencies, including management and senior executive business leaders, risk and compliance executives, regulators, as well as other relevant external constituencies; Assume a leadership role in providing cross-platform and multi-disciplinary legal advice on the development of strategic priorities to manage enterprise-level response; and Assist with the management of outside counsel relationships.

The candidate should have Active State Bar membership. Should have 8+ years of experience as a practicing attorney; or 6+ years of experience as a practicing attorney and 2+ years of experience in one or a combination of the following areas: risk, compliance, contracts, government/regulatory, financial services, or technology. Desired Qualifications: Ability to analyze legal issues in substantive law in area of practice and provide effective advice to clients on complex legal matters. Ability to be flexible and adaptable to changing priorities and deadlines. Effective organizational, multi tasking, and prioritizing skills. Excellent verbal, written, and interpersonal communication skills. Extensive knowledge and understanding of research, counsel, and guidance on complex legal questions or inquiries. Strong attention to detail and accuracy skills. Other Desired Qualifications: Broad knowledge of corporate, municipal and related financing arrangements, securitization products, and the related regulatory environment; Effective written and oral communication skills; Experience interacting with and presenting to senior executive legal and business management, regulators or other internal or external stakeholders; Enterprise-level experience supporting corporate regulatory and corporate risk issues, and working with broad and executive-level committees; Strong ability to develop and maintain effective relationships with the business lines, risk partners and across the organization; Flexibility and adaptability to changing laws, regulations, priorities and deadlines; Demonstrated ability to make critical decisions and provide effective advice; and Ability to manage multiple transactional demands and execute the business vision, strategies and goals to achieve corporate objectives.
