Deputy General Counsel - Litigation Responsibilities: Management of all stages of complex litigation matters, including active management of outside counsel and outside counsel spend. Responsible for setting case strategy, analyzing financial and other risks associated with individual matters as well as overall litigation docket, developing trial plans for cases going to trial, controlling costs, developing discovery plan, reviewing discovery, witness preparation, reviewing and editing briefs and other pleadings and making recommendations regarding strategic approaches to overall litigation docket, trial strategy, and whether matters should be settled or tried. Management and optimization of litigation budget for overall docket and individual cases. Significant interaction with General Counsel and members of senior management. Advising the businesses on operational issues as well as pre-litigation disputes and how business can mitigate risk with respect to active or past litigation. Oversee and further develop a robust, world-class compliance function that minimizes the Companys risk of non-compliance with federal and state laws and regulations domestically, as well as applicable laws, rules and regulations globally affecting its operations. Proactively monitor compliance and legal regulatory matters relevant to the Companys products, services, operations and business initiatives. Keep the Company abreast of state and federal legislative developments and challenges. Collaborate with other departments (e.g., Internal Audit, HR, IT, etc.) to direct compliance issues to appropriate channels for investigation, and continually improve the process to encourage the management of issues for early, proactive resolution, in order to mitigate greater risks.

Qualifications: A JD Degree with 10+ years of relevant experience is required. Substantial experience in managing complex, multimillion dollar commercial litigation matters and preparing those matters for trial. Experience as a first or second chair trial lawyer in commercial litigation matters is highly desired. Experience managing a budget for a large litigation docket, including overseeing and optimizing outside counsel expenses, including experience in negotiating and preparing alternative fee arrangements. Strong problem solving skills and the ability to articulate options as to how to proceed as opposed solely to pitfalls in proceeding in a particular manner. Experience managing a compliance program including assessment, training, education, audit and enforcement, in a company, or business of comparable size and complexity to Sears. Ability to operate with limited supervision and show good judgment, including ability to determine appropriate allocation of limited resources among competing priorities. Highly developed communication and people management skills are also required. Must be able to communicate clearly, openly, concisely and persuasively with Senior Management. Candidate must be effective at troubleshooting and improvising in unexpected situations. Strong organizational skills, ability to juggle multiple priorities and meet short deadlines.
