Senior Litigation Counsel The candidate will provide legal support in all phases of the wholesale and rural businesses (jointly WR ) lending and general nation-wide business activities with an emphasis on employment litigation and collection litigation. Will have an overall view of all legal areas within the businesses and advises mainly on non-standard to highly complex legal issues.Provide legal support in all aspects of WRs business specifically including the areas of providing legal support to LFR Managers in the litigation, restructuring and documentation of workout accounts as well as actual collection activities and providing legal support by managing litigation related to Human Resource matters; actively manage issues and duties that are delegated by the Regional General Counsel-North America or Deputy General Counsel including preparing and coordinating necessary materials to deal with various legal matters; give accurate and timely counsel to executives and HR employees related to employment matters; collaborate with business managers to devise efficient defense strategies to employment claims; in all respects, coordinate activities in conjunction with the use of outside counsel as required; review all such legal loan documentation to ensure loans are documented according to loan approval, appropriate regulations and credit policy; proactively interact with all levels of lending personnel and human resource personnel to provide legal support, legal documentation, and resolution of issues. Expected to work on all legal matters involving WR, including advising supervisors, human resource employees, LFR managers, vendor finance department members, relationship managers, credit areas, and closing department and also drafting and reviewing legal documentation, handling disputes, etc. Required to coordinate with and oversee work of outside counsel. Responsible for exercising legal judgment on independent basis on all matters including matters with potentially significant financial and legal exposure. Integrate and identify strategies to mitigate risk and take proactive legal action when necessary to protect interests of RDS and WR. Perform legal research as necessary to accomplish goals of legal department. Assist human resource employees with litigation and evaluation, negotiation and settlement of employment related claims. Assist LFR managers, relationship managers, and vendor finance department with structuring, restructuring, drafting, negotiating and closing secured and unsecured agricultural loans using specific knowledge of Revised Article 9 UCC and workout/bankruptcy. Deal with operating loan transactions including inventory, accounts receivable, and distressed debt transactions, involving such facilities as revolving lines of credit, term debt facilities, and participations. Perform file reviews as needed for loans transferred to LFR Dept. Provide legal support related to OREOS including in areas of environmental issues, insurance issues, property tax issues and TD advice forms.Provide support, give opinions, analysis and recommendations for WR employees regarding structure, risk and other general questions on prospective and current loans and borrowers. Lead strategic projects designed to improve WRs loan documents, processes or other functions.Assist or lead remediation projects to address past concerns or deficiencies in an effort to mitigate risk and improve the companys future performance. Coaches more junior colleagues.Actively and consistently demonstrates the Seven North America Cultural Commitments. Complete all mandatory training within a timely basis, as instructed. Comply with code of conduct & Bank policies/procedures. Actively identify incidents outside of established policies & procedures and report to management immediately. Familiar with & comply with laws, regulations, and internal policies & procedures that are applicable to required job duties.Understand & comply with all RAF & firm'sbank anti-money laundering (AML), compliance, and all other applicable laws, including, but not limited to, the completion of all required AML & Sanctions training. Actively & consistently demonstrate firm'sbank cultural practices.

The candidate should have Law Degree with 10+ years of experience. Must hold license to practice law in Missouri or ability to petition and obtain license. Must have general knowledge of production agriculture as well as specific knowledge of law related to agricultural lending, e.g., lien perfection on crops, machinery and equipment and real property; supplier liens, grower liens, etc. Must have 3-5 years of litigation experience. Must have knowledge of litigation procedures coupled with the ability to manage tasks for results, able to maintain objectivity, display of technical understanding of general Federal Bankruptcy rules, UCC ART. 9, mortgages: deed of trusts; a good understanding of the varied aspects of short-term agricultural credit and general agricultural background or experience in related area.
