Director and Senior Counsel, Employment and Employee Benefits Duties: Provide legal counsel to internal business clients on a broad range of employment and employee benefits matters, including routine legal matters, significant transactions, and project-based corporate initiatives, with a primary focus on employee management and relations, employee benefits, visa / immigration matters, and regulatory compliance. Provide support on general corporate transactional and communications matters as needed. Provide legal services to the Corporations human resources department, compliance department, finance department, senior management and operating business managers. Act as a subject matter expert for the legal function, with an emphasis on providing specialized legal and regulatory advice to the human resources department with respect to (i) employee relations, including employee performance, disciplinary and termination matters, employee complaints and disputes, policy interpretation, and restrictive covenants, (ii) welfare benefit plans, retirement plans, compensation and Total Rewards programs, related corporate contracts, and benefits-related tax matters, and (iii) regulatory compliance for employment, benefit, welfare, Affordable Care Act, ERISA and HIPAA matters, including reviewing and advising on corporate benefit plans, corporate employment policies, and corporate policies and procedures designed to facilitate compliance with applicable employee, benefit and welfare laws. Act as a liaison to the First Vice President, Total Rewards. Participate in/oversee investigations related to alleged violations of the Corporations policies governing employee conduct, including discrimination, harassment and similar issues. Conduct risk assessments of complaints and develop legally sound strategies for the Corporations defense of potential legal actions. Maintain working knowledge of, and help develop, the Corporations employee benefit plans and compensation programs, including qualified and non-qualified retirement plans, welfare benefit plans, executive compensation arrangements, cafeteria plans, and payroll and pay practices. Monitor proposed legislation, and ensure the Corporation, including the First Vice President, Total Rewards, is apprised of legal developments in matters concerning employment/employee benefits. Review corporate communications, educational and marketing materials related to human resources matters before publication. Serve as an advisor to the Corporations Administrative Committee. Review, draft, and provide advice regarding policies, procedures, memoranda and business communications relative to the foregoing and other areas on an as-needed basis. Assist the Corporation in achieving strategic goals by identifying legal consequences and issues associated with business initiatives and recommending alternative courses of action to achieve business objectives while limiting liability and risk. Interface with outside counsel, as needed, with respect to matters described above. Perform other duties as required.

Qualifications: Bachelor's degree from accredited college or university. JD Degree or equivalent degree from a law school accredited by the American Bar Association. Admitted to practice law in Illinois 5-10 years of relevant experience at a law firm or corporate in-house position. Word processing, Excel, PowerPoint and e-mail skills. Experience in one or more of the following areas: employment law and employee benefits laws. Broad-based transactional experience preferred. Knowledge and familiarity with laws, rules, regulations, and industry standards concerning the above-mentioned practice areas. Experience working with regulated financial institutions preferred. Comprehensive analytical, conceptual, and problem-solving skills. Ability to manage medium to high complexity matters with a significant degree of independence. Ability to expeditiously identify and assess issues and provide legally sound recommendations consistent with good business practices and reason. Ability to quickly shift priorities in response to changing business environment. Well-organized and capable of managing several significant assignments at the same time. Ability to promptly produce high-quality, detailed work product. Ability to communicative effectively and work collaboratively with both non-technical and highly technical individuals across different departments and at various levels of seniority, including senior management, human resources, technology, security, and risk professionals, and other business teams, as well as with outside counsel. Excellent written and oral communication skills. Excellent client management skills.
