Senior Counsel, Contracts The candidate sits within the Law Departments Transactional Law Group which is responsible for the majority of the transactional, technology, intellectual property and M&A matters of the Company. This Group works in close partnership with others in the Law Department, the Compliance Department and the Procurement teams to support the needs and goals of the Companies within North and South America. Will be working with a team of ambitious and engaged professionals who bring fresh ideas and diverse perspectives to help us continually shake up the status quo and stay on the forefront of our legal processes and procedures. Will learn what it means to work for a company that focuses on risk mitigation and process improvement as it relates to enabling us to perform at the level we need to transform and grow our business and maintain reputation as an industry leader. Drafts and/or reviews various types of contracts such as: supply, services, software/technology licenses, purchase or sale agreements, TPA and outsourcing agreements. Reviews and advises on corporate venture capital investments and supports M&A activity. Work on complex legal issues where analysis requires identification and evaluation of multiple factors. Manage legal matters provided to a number of in-house constituents within practice area(s). Exercise independent judgment regarding legal advice with limited supervision of more senior attorney. Negotiate discrete disputes within practice area(s). Review and draft documents and templates within practice area(s). Coordinate legal matters handled by outside counsel. May provide input into the selection of outside counsel from pre-selected counsel list. Participate in and may lead departmental and cross-functional working groups in identified areas of legal expertise or development. The candidate should have JD degree from an ABA accredited law school. Should be Licensed or eligible to practice in the applicable state. Should have 5+ years of relevant experience. Knowledge and prior experience with software license agreements, Cloud agreements (IaaS, PaaS, SaaS), outsourcing arrangements, and technology matters. Should preferrably have Privacy and data security experience. Intellectual property experience.
