Attorney, Commercial Contracts The candidate will draft and negotiate a variety of commercial contracts, with a particular emphasis on revenue-generating contracts with customers, under the guidance and direction of senior members of the Legal & Risk Management department. Will also draft, negotiate and close a variety of vendor contracts and provide legal support to the Companys operations and marketing departments. Have frequent interactions with internal stakeholders across multiple business units and functional groups and will be responsible for ensuring that all contracting processes are followed, including obtaining and documenting any approvals required in connection with each contract. Facilitate the resolution of business and legal issues and formulate recommendations using analysis, creativity and the development of new approaches to enable contract execution while safeguarding the Company and creating a positive customer experience all in accordance with Company policies and procedures. Participate in and contribute to the development and on-going review of relevant processes, guidelines and procedures relating to the company's commercial contracting activities. J.D., LL.B. or foreign equivalent degree is required. Must have 1-3 years of mid to large law firm experience working on complex commercial transactions and/or 2-3 years of in-house experience negotiating commercial contracts for a global corporation (preference for healthcare or technology). Healthcare and/or technology licensing/information technology services experience preferred. Experience with Master Service Agreements is desirable. Should have superb legal drafting skills, with affinity for using language to achieve compromise. Must have ability to analyze complex business and legal issues/risks in order to advance practical solutions.
